ACCOUNTABILITY
The Ethics Officer is accountable and reports to the Executive Manager: Corporate Services of the Coega Development Corporation (CDC).
MANDATE
The Ethics Officer is mandated by the Executive Manager: Corporate Services to assist with the responsibilities of the Ethics Office of the CDC. The purpose of the CDC’s Ethics office is to assist the organisation with the institutionalisation of ethics within the CDC. The Ethics Officer is entrusted with the planning, coordination, implementation and control of the strategies, structures and systems required to institutionalise, monitor and report on ethics performance, and to ensure that the CDC governance structures, and ethical culture are strengthened.
DESCRIPTION
RESPONSIBILITIES AND OBLIGATIONS
The primary objectives of the Ethics Officer role are to manage the ethics function of the CDC and to ensure that strategies aimed at cultivating a culture of ethical decision making and conduct are functioning optimally, and in line with international best practices. In pursuance of these primary objectives, the Ethics Officer is required to:
- Lead and coordinate with the Risk Management Unit to ensure that Ethics Opportunities and Risk Assessments of the organisation and its subsidiaries are conducted annually.
- Develop the Ethics Strategy; Policies (every three years) and Ethics Management Plan (annually) for the organisation.
- Develop and conduct appropriate ethics climate surveys for each internal and external stakeholder category and align needed interventions with the Annual Ethics Management Plan.
- Ensure synergy between the organisation’s Code of Conduct and Ethics Policy and other related policies.
- Collaborate with Forensic Unit when conducting investigations into alleged or reported incidents of unethical conduct.
- Oversee the preparation of reports and correspondence in relation to ethics matters of the CDC.
- Safeguard documentary evidence relating to the investigations conducted.
- Maintain a register of investigations into unethical conduct.
- Act as a reference point and provide advice to employees, management, the executives and governance structures on arrangement to comply with and operate within the ethical conduct framework.
- Lead the process of training material development and conduct quarterly ethics awareness training interventions for new and existing employees.
- Collaborate with the Human Resources Unit on implementing Change Management initiatives within the organisation.
- Ensure a coordinated approach to the management of Conflicts of Interest, including:
- - Financial Disclosure of CDC employees;
- - Application for external remunerative work; and
- - Gift Register.
- Facilitate effective delivery / implementation of ethics interventions, projects and activities across all operations, functions and subsidiaries (e.g. change to policies, processes and plans.)
- Report to the Executive Management and Governance Structures on ethics performance at prescribed intervals.
- Keep abreast of developments and best practices in ethics and ethics management.
- Maintain oversight of all complaints which are investigated by CDC Business Units and provide input/advice as appropriate and, where necessary, directly manage these complaints.
- Positively work to resolve any problems which arise in relation to the management of complaints which may involve careful consideration of complex issues, or discussion with appropriate staff.
- Provide input in the development of the section of CDC Performance Practice Note that pertains to reporting on job creation.
- Facilitate consultations with Infrastructure Programme Managers to communicate Practice Note requirements in relation to Employment reporting.
- Maintain an oversight of validated employment achievements and prepare a quarterly report on all employment achievements of CDC programmes.
- Act as a Risk Champion of the Business Unit.
STANDARD COMPLIANCE DUTIES
Furthermore, the incumbent has to be aware that:
- You are aware of and have access to CDC’s Safety, Health and Environmental Management System (SHEMS) ;
- You are aware of your responsibilities and duties as laid out in the CDC’s SHEMS;
- You are aware that you work in a safe and environmentally friendly manner;
- You ensure that the company’s housekeeping standards are maintained throughout your area of responsibility;
- You report any unsafe conditions or act which you cannot rectify yourself to your SHE representative or to the Senior SHE Project Manager as soon as possible;
- You report all SHE incidents which occur within your area of responsibility promptly and in the correct format;
- You are totally familiar with your responsibilities in terms of CDC’s emergency plan;
- You communicate to the Senior SHE Project Manager any required changes to the SHEMS prior to implementing these changes;
- You timeously complete and correctly record any corrective action which needs to be taken in order to rectify a SHE matters;
- You give full co-operation to, and participate in (as required), CDC’s internal and external SHEMS audits.
You have the authority to:
- Immediately stop any person(s) on CDC property from committing an unsafe or destructive act or omission;
- Take whatever immediate steps you deem necessary to prevent injury or environmental damage when confronted with an unsafe or destructive condition.
Additionally, ensure that:
- During your period of employment and subsequent thereto, you shall keep confidential and shall not make use of, directly or indirectly, and shall not disclose any of the CDC’s trade secrets or confidential information or those of its subsidiary or associate companies or those of other persons who have made disclosures to the CDC under conditions of confidentiality, other than to persons authorized by the CDC or those employed by the CDC who are required to know such secrets or to have such information for the purpose of their employment with the CDC.
- You shall not, without the written permission of the CEO, be directly or indirectly employed for gain in any business or pursuit other than that of the CDC. Such permission will be granted only if the CEO is satisfied that the activity is not in conflict with the CDC’s interests, and that the Employee’s ability to fulfil his/her duties to the CEO satisfaction will not be impaired.
- It is conditional that you and/or no immediate relative or member of my household be employed by an organisation in direct competition with the CDC, without the CDC’s written approval. The CDC reserves the right to enquire as to the place of employment of my spouse or any member of my household.
- You will abide by the CDC Code of Conduct and Ethics Policy which seeks to codify the expected ethical behavior from me, to meet the ideal of good corporate governance.
REQUIREMENTS
- Degree/ Diploma in Business Administration, Law or Internal Audit, any related or equivalent;
- Postgraduate qualification in Ethics, Risk, Governance or Compliance Management would be an advantage;
- A Ethics Officer Certification is advantageous;
- 5+ years at a senior level in the corporate environment, preferably in Governance, Risk, Audit or Compliance;
- Excellent technical knowledge and experience in governance and management of ethics;
- Proficiency and experience in project management methodology;
- Excellent advisory and facilitation skills;
- Stakeholder management and relationship building skills;
- Ability to work under pressure;
- Business acumen;
- Excellent interpersonal and communication skills.
PERFORMANCE INDICATORS
Performance is monitored regularly by reference to Key Performance Indicators and Balanced Scorecard.
