SENIOR LEGAL ADVISOR – UNLISTED LEGAL (RE-ADVERTISED) 
Salary: All-inclusive remuneration package negotiable

Purpose of the role: 
To provide legal advice on general corporate and commercial law matters and transactions; and legal advisory in investments within the PIC. 
 
Requirements:
  • LLB degree 
  • Admitted attorney of the High Court between 6 - 8 years post admission experience specifically in corporate/ commercial law and investment management. 
  • Overall experience in the financial services sector will also be considered for the role. 
 
Duties:
  • Conduct legal research, provide opinions and advices in respect of corporate/commercial law matters and legal advisory in investments; 
  • Conduct legal due diligence investigations; 
  • Draft, review and negotiate corporate, commercial and banking and finance related agreements. 
  • Negotiate transactions of a corporate, commercial and banking and finance nature pertaining to private/unlisted entities. 
  • Structure and manage Unlisted transactions (i.e., debt funding, project finance, energy: oil and gas and renewable energy, mergers and acquisitions, private equity investments and/or structured finance transactions and venture capital).. 
  • Corporate, commercial and banking and finance legal transaction experience (Equity, Debt and Mezzanine structure) across jurisdictions in Sub Saharan Africa is a key performance area in this role 
  • Manage and assist with any litigation and/or arbitration emanating from transactions, identify new and amendments to investment legislation that impacts PIC and advise and assist with implementation thereof. 
  • Manage the appointment process of procuring external counsel on the PIC panel and provide the requisite instructions to appointed external counsel, 
  • Assist with post management of transactions across various departments such as Post Management and Valuation (PMV) and disbursement processes, 
  • Assist and advise the Turn Around Value Add (TOVA department with restructure, business rescue, liquidations and workout); 
  • Identify new and amendments to investment legislation that impacts PIC and advise and assist with implementation including advise on FAIS and related legislation. 
  • Provide training to staff on legislation and legal matters pertaining to the PIC. 
  • Manage projects of the PIC in relation to Unlisted Investments. 
  • Assist with projects of the PIC. 
  • Manage legal instructions and attorneys on the panel; 
  • Ad hoc competition law advisory; 
  • Contract management of concluded transactions (i.e. SharePoint and efront); 
  • Supervision of juniors

Purpose of the role: 
Is to ensure that the organisation’s record both physical and digital and Information assets are properly managed throughout their lifecycle. This supports operational efficiency, legal compliance, and information security. 
 
Requirements:
  • Information Management Degree or Higher Certificate in Archives and Records Management / Diploma or related 
  • 2 years Records Management experience 
  • Practical knowledge of core records principles, systems, processes, and imaging solutions. 
  • Knowledge and understanding of legal and regulatory frameworks governing financial records. 
 
Duties:
  • Provide support in the implementation of the electronic Document and Records Management System (eDRMS) to ensure optimal utilisation of the system. 
  • Organise, package, and conceal paper files for proper storage. 
  • Sort, scan, and index paper records for integration into the records management systems. 
  • Secure and maintain the storage of critical vital records through imaging and vault solutions. 
  • Evaluate and dispose of records based on their administrative, fiscal, legal, historical, and research value in accordance with the Retention Schedule. 
  • Research, develop, and implement procedures and work instructions to ensure that all legal, regulatory, and business requirements are incorporated across the organisation's business processes. 
  • Maintain a file plan to store records in a way that makes them easy to retrieve. 
  • Undertake audits of organisational records to ensure all records are properly accounted for. 
  • Sort and distribute incoming mail. 
  • Courier Services booking/tracking couriers. 
  • Collection and distribution of parcels.

Purpose of the role: 
To serve as a trusted advisor who will partner with internal stakeholders at all management levels and external stakeholders to drive learning and development initiatives aligned to the organisations strategic intent. 
 
Requirements:
  • Degree in Human Resources, Training and Development or a related discipline 
  • A minimum of 5 years of experience in Learning and Development/training environment within financial services sector. Asset Management and Investment sector will be an added advantage 
  • Instructional designer experienced in E-learning content creation using authoring tools such as articulate 360 as an added advantage. 
  • Must be an accredited SDF 
  • FASSET or related SETA experience as an added advantage 
 
Duties:
  • Provide administration support to Learning and Development Function in relation to employee training and employee bursary administration. 
  • Administer and monitoring of employee training and bursary applications in line with the organisation’s policies and procedures and all related Standard Operating Procedures (SOP’s) are adhered to. 
  • Ensure that employee training application is aligned to the employee PDP’s 
  • Coordinate and take responsibility for training registration and scheduling for virtual and face to face training using the HR system to ensure optimal attendance. 
  • Respond to employee queries as and when they arise and be a trusted advisor on Learning and development offerings. 
  • Ensure that procurement process is followed in line with PFMA and National Treasury regulations. 
  • Able to Manage and report on Financial responsibilities related to training applications and interventions. 
  • Articulate content development goals with internal stakeholders and create content that matches these goals. 
  • Design and develop content and assessments using articulate 360 authoring tools 
  • Able to manage and coordinate of compliance training in line with the FSCA Regulations i.e. RE training workshops, exams and CPD’s for Key Individuals. 
  • Able to manage the unemployed youth development programmes in line with the PIC transformation agenda Employment Equity plan i.e. Bursaries , Learnerships/internships and vacation work. 
  • Prepare and manage the external bursary application process and prepare documents for submission to the Bursary Committee for review post applications for external applications. 
  • Produce reports and provide relevant feedback to applicants and bursary committees based on outcomes for the application season or feedback mechanisms. 
  • Compile annual Statutory Reporting (BBBEE, WSP/ATR and Employment Equity Audit 
  • Submissions in line with the deadlines according to FASSET.

CREDIT RISK ANALYST (RE-ADVERTISED)

Purpose of the role: 
To manage credit risk by way of identifying, quantifying, and reporting on various forms of credit risk (e.g. pricing, volatility, and interest rate risk). To conduct ongoing research and understanding of financial markets to understand trends and risks to ensure informed credit risk recommendations. Prepare Credit reports, advising appropriate credit risk ratings, pricing, exposure and making investment recommendations with respect to the individual transactions. 
 
Requirements:
• B Com Degree (Finance/Accounting), BSc (Actuarial/Mathematics) or any related Commercial degree 
• Post graduate Finance or Investment-related Degree, CFA, FRM, CAIA (Highly Advantageous) 
• Minimum 4 year’s relevant experience in due diligence assessments of credit risk in Corporate Finance and Project Finance Deals. 
• Minimum 4 years credit risk experience in both unlisted and listed credit is highly advantageous. 
• Knowledge of Credit Assessment Techniques for various asset classes 
• Knowledge of Financial Modeling and Valuation techniques 
• Knowledge of compliance requirements for investments in Asset Management 
 
Duties:
• To provide expert advice on credit risk factors that may influence investment decisions made on PIC portfolios for both listed and unlisted investments. 
• To participate in due diligence of investment considerations and to provide independent risk assessment detailed reports, with recommendations to the various committees to inform decision-making. 
• To assess investment considerations against both the client mandates and the PIC’s internal investment related and other applicable policies and processes, which assessment will form part of the overall risk assessment to inform decision-making. 
• To conduct ongoing risk monitoring, at investment and portfolio level for reporting to PIC Management, Client and Board (as required) 
• To participate in ad-hoc credit and investment risk related projects and activities related to improving ways of measuring, managing, reporting and/or minimizing risk while ensuring maximized return on all PIC portfolios. 
• To participate in quarterly monitoring of investments (as required), including impairment calculations. 
• To participate in ad-hoc requests from clients and/or PIC management to provide input into the risks and opportunities for portfolio optimisation. 
• Contribute to the enhancement of credit risk and investment risk processes to enable continued robustness of PIC’s risk management. 
• To conduct ongoing research and understanding of financial markets to understand trends and risks to ensure informed credit risk recommendations.
