CITY OF JOHANNESBURG
APPLICATIONS ARE INVITED FOR THE POSITIONS OF NON-EXECUTIVE DIRECTOR, INDEPENDENT AUDIT COMMITTEE MEMBER, OR GROUP ADVISORY COMMITTEE MEMBER WITHIN THE CITY OF JOHANNESBURG METROPOLITAN MUNICIPALITY’S STATE-OWNED COMPANIES (MUNICIPAL ENTITIES).
The City of Johannesburg Metropolitan Municipality was established as a local authority under Provincial Government Notice No. 6766 of 2000 (Gauteng). Under section 76 of the Local Government: Municipal Systems Act No. 32 of 2000, the City has been providing municipal services through both internal and external mechanisms. The external mechanisms referred to herein are Municipal Entities that provide services under their respective service delivery agreements with the City of Johannesburg Metropolitan Municipality.
The City of Johannesburg invites applications for the following positions:
· Non-Executive Director and Independent Audit Committee member of the Boards of Directors of its thirteen (13) Municipal entities (MEs); and
· Members of the City of Johannesburg's Group Advisory Committees (Group Audit Committee, Group Performance Audit Committee, Group Risk Governance Committee, Group Smart City Committee and Group Economic Advisory Committee).
Background, criminal, qualification, and reference checks will be conducted for all candidates.
Qualifications and skills required: Prospective candidates must hold a Bachelor’s degree or an equivalent National Qualification Framework (NQF) Level 7 qualification. For trading services, preference will be given to candidates with (a) sectoral experience or expertise, such as in water, sanitation, waste management, energy, transport, or roads, and (b) NQF levels 8, 9 or 10 will be an added advantage.
The qualifications must be in the following disciplines, among others.
Eligible qualifications include: Information and Communication Technology (ICT) Governance and Telecommunications; Science; Smart City/4IR; Legal; Finance; Accounting; Treasury; Audit; Risk Governance or Management; Compliance; Governance and Ethics; Public Administration; Engineering (must be registered with ECSA or relevant association); Infrastructure Development and Project Management; Performance Audit and Management; Organisational Design; People and Change Management; Labour Relations; Human Capital; Economics and Regulation; Business Administration; Facility Management; Agribusiness; Horticulture; Zoology; Digital Transformation; Real Estate; Property Management or Development; Construction or Building Technologies; Tourism; Investments; Actuarial Science; Insurance; Environmental Management; Transport Logistics; Roads; Urban Development; Spatial Planning; and Theatre Management.
Experience required: Candidates should possess a minimum of 5 years of experience in leadership, business, civil society, or formal employment, including at least 3 years in a senior management role and prior board experience.
Disqualification criteria: Applicants who are disqualified from appointment to the Boards of Directors or Committees under the Companies Act, Local Government Legislation, Companies Memorandum of Incorporation, or City of Johannesburg Shareholder Policy
In terms of Section 93F (1) and (2) of the Municipal Systems Act, read with Section 69 of the Companies Act 71 of 2008, the following persons shall not be eligible for consideration as a Director of a Municipal Entity or Committee member:
· A person holding office as a Councillor of any Municipality.
· A person who is a member of the National Assembly or a Provincial Legislature.
· A person who is a permanent delegate to the National Council of Provinces.
· A person who is an official of the parent Municipality of that Municipal Entity.
· A person who was convicted of any offence and sentenced to imprisonment without the option of a fine, and five years have not yet lapsed since completion of the sentence.
· A person who has been declared by a court to be of unsound mind; or
· A person who is an un-rehabilitated insolvent.
· A person removed from a position of trust due to dishonesty.
· Conviction for theft, fraud, forgery, perjury, or corruption without the option of a fine.
· Anyone who is currently charged by a court of law or under criminal investigation.
· Anyone who has been removed from an association such as SAICA, the Law Society of South Africa, or the Engineering Council of South Africa.
· Anyone who is causing a company to trade under insolvent circumstances, or who acted negligently by submitting inadequate financial records, failing to pay tax, failing to file returns, or engaging in any misconduct, such as misusing company assets for personal benefit.
· Anyone with a court order prohibiting the person from being a director or declaring them delinquent.
