SOUTH AFRICAN DIAMOND AND PRECIOUS METALS REGULATOR (SADPMR)
The South African Diamond and Precious Metals Regulator, established in terms of Section 3 of the Diamonds Amendment Act, 2005 (Act 29 of 2005), aims to regulate the industry to ensure that the diamond resources and precious metals of the Republic are exploited and developed in the interest of the people of South Africa, to promote equitable access to local beneficiation and ensure compliance with the Kimberley Process Certification Scheme. Purpose: The Board Secretary serves as the liaison between the Board of Directors, the Authority, its advisory bodies, the entity’s executive management and the shareholder, ensuring that all matters are handled effectively.
Requirements: A degree in Law (LLB or LLM), with appropriate experience in Corporate Governance, Ethics, Assurance Processes and Risk Management. Experience in Board Secretariat functions within the public sector entity • Accreditation with the South African Institute of Chartered Secretaries and Administrators will be an added advantage •In addition to the above, the candidate must be in possession of a valid driver’s license.
Knowledge and abilities: King Reports and PFMA, Corporate Governance • Report writing skills • Networking Skills. Excellent verbal and written communication skills. Computer literacy • The ability to give presentations to management and other stakeholders • communication skills • Excellent interpersonal skills and strong team leadership • good planning & organizing skills • sound problem solving & analytical skills • sound working knowledge of Corporate Governance• Management and supervisory skills.
Reporting To: Reporting to the Chief Executive Officer and the Board of Directors.
Duties: Handle SADPMR matters and act as a Secretary to the Board and Executive Management of the SADPMR • Act as Compliance and Information Officer • Monitor and coordinate all Board activities to ensure compliance with relevant legislation, such as the King Reports on Corporate Governance, the Public Finance Management Act (1999) as well as the Companies Act (2008) • Coordinate and liaise with Board members in connection with confidentiality agreements, declarations of interest, remuneration and claims • Administer Board and Board Sub Committees Secretariat Functions • Provide the Board with specialist advice • Facilitate the Board’s strategy sessions and coordinate documentation associated therewith • Coordinate the fulfilment of shareholder and Government related needs, requirements and obligations, e.g. the Corporate Plan and Annual Report. Coordinate, compile and timeously issue Board and Board Sub Committee meeting packs • Coach, mentor monitor performance of subordinates to develop skills and facilitate skills transfer, and address any areas of non-performance.
