PERFORMING ARTS CENTRE OF THE FREE STATE (PACOFS)
VACANCY
Suitably qualified candidates are invited to apply for the following vacant post:-
POSITION: COMPANY SECRETARY
All-inclusive remuneration: R679 461 – R989 378 per annum
MIINIMUM REQUIREMENTS
Relevant Degree in Law or equivalent appropriate qualification;
An Admitted Attorney will be preferable;
3 years’ post qualification experience as an attorney or a company secretary;
Extensive knowledge of CCMA and High Court rules;
Advanced knowledge of labour and corporate law, including King Reports on Corporate Governance
JOB SPECIFICATIONS
Organise and prepare agendas and papers for Council and committees meetings;
Be accountable to the Chairperson of the Council for all governance and secretarial matters;
Manage the Secretarial function, including supporting the Council and sub-committees;
Ensure timeous distribution of all the documents required for Council and Sub-Committee meetings;
Oversee efficient administrative support to all Council and sub-committee members (including all correspondence, Council payments and travelling arrangements;
Contribute to meeting discussions as and when required, and advise members and management of the legal and governance implications of proposed policies and any course of action;
Prosecute at disciplinary hearings;
Handle the handover of overdue debts for collection;
Draft legal opinions;
Investigate irregular, fruitless and wasteful expenditure and referred cases;
Provide investigative support to the Human Resources Department on disciplinary matters
Ensure that relevant governance issues, either in terms of compliance or non-compliance are brought to the attention of the Council;
Assist in the proper induction and orientation of new Council and sub-committee members
Manage all the corporate governance and related matters;
Draft and submit the shareholder’s compact;
Maintain annual financial disclosures and conflict of interest registers
Ensure that compliance within the respective operations is in line with all applicable laws and therefore provides a monitoring role to the compliance responsibilities of management;
Develop and maintain compliance register.
Please note: The above-mentioned salary range is all-inclusive and is only negotiable if the incumbent’s current earnings is above the entry level.
