MINING QUALIFICATIONS AUTHORITY (MQA)
 
LEGAL AND GOVERNANCE ADMINISTRATOR
Paterson Grade: C1 
Remuneration: R 346, 793.10 (TCTC) excluding a possible 20% Performance Bonus. 
 
The Mining Qualifications Authority (MQA) is a Sector Education and Training Authority (SETA) that facilitates skills development training in terms of the Skills Development Act 97 of 1998, under the Department of Higher Education and Training (DHET).
The MQA also supports mine health and safety for the mining and minerals sector in terms of the Mine Health and Safety Act 29 of 1996, under the Department of Mineral Resources and Energy (DMRE).
The MQA requires the services of an individual to fill the above-mentioned position.
The successful candidate will report to the Legal and Governance Manager. 
 
Role purpose
To provide sound, professional, efficient legal and governance services to the MQA.
The candidate will be responsible for the following Key Performance Areas:

Contract Management and Monitoring
  • Develop and prepare all contracts and agreements for the MQA in line with general conditions of the contract.
  • Monitor implementation of contracts and ensure conformity to the requirements of the contracts.
  • Liaise with stakeholders and service providers regarding signing, monitoring and termination of contracts.
  • Liaise with and take remedial actions necessary for non-compliant service providers.
  • Prepare process flows, systems, and procedures for legal and governance functions in the MQA.
  • Prepare training and capacitation of internal and external stakeholders in respect of contracts and agreements signed between the MQA and other parties.
  • Implement a tracking system for all contracts and advise relevant users of the termination and expiry periods.
  • Ensure compliance of all contracts to best practices and relevant legislative frameworks.
 
Corporate Governance
  • Oversee the identification, assessment, mitigation and monitoring of operational risks for the Unit.
  • Prepare reports in line with instructions of the line manager.
  • Submit documentation to the internal and external auditors.
  • Update the centralised document management system for managing Unit documentation, contracts, and reports.
  • Ensure all internal and external stakeholders are receiving accurate and timely information.
 
Strategy, Policy and Procedures
  • Implement the relevant unit policies.
  • Provide professional support on all legal and governance matters in order to support the business.
  • Manage the organisation wide policy schedule and advise on the review, amendments, and enhancements.
  • Develop and manage legal and governance process flows and communicate these to the Units.
 
Document Management
  • Implement the MQA compliance schedule in respect of legislation, regulations, and other legal requirements in line with MQA Compliance Policy.
  • Advise manager of strategic and operational compliance risks with proposed mitigating actions.
  • Update legal, compliance and governance process flows.
  • Advise manager on the latest legislative changes and ensure compliance to all prescripts, regulations, and requirements.
  • Comply with all the statutory provisions applicable to the MQA.
  • Provide inputs into the MQA’s corporate governance framework.
  • Implement a sound document and records management system in line with the approved Policies.
 
Compliance Management
  • Advise the MQA on the latest legislative changes and ensure compliance to all prescripts, regulations, and requirements.
  • Advise the MQA’s corporate governance framework.
 
Management of Legal Matters
  • Record all legal matters pertaining to the organisation.
  • Provide legal advice and opinions of contractual and related matters.
  • Liaise with legal service providers.
  • Develop capacity and facilitating information sessions pertaining to all legal, governance and compliance matters.
  • Prepare all reports and communication pertaining to the legal, governance and compliance matters for review of line manager.
  • Draft legal opinions to submit to the line manager for review.
 
Qualifications 
  • A Bachelor of Laws degree (NQF level 8) or equivalent qualification.
 
Experience
  • Minimum of two (2) years’ work experience as a legal professional.
  • Admission as a Legal Practitioner in terms of the Legal Practice Act No 28 of 2014, as amended, would be advantageous.
 
Knowledge
  • In depth knowledge of Corporate Governance practices, Company Law, and other relevant legislation.
  • Knowledge of contractual law and litigation and interpretation of statutes.
  • Understanding of legal and governance procedures and process in the South African context.
  • Understanding and interpretation of contracts.
  • Understanding of corporate governance in the public and private sector.
  • Understanding of skills development and training in South Africa.
