PRIMARY OBJECTIVE(S) OF THE JOB
Provides impartial, comprehensive legal, regulatory advice and contract management services to MDDA. Keep up to date with relevant legal, statutory and regulatory requirements. Provide impartial advice and support to the Board and Executive Management. Ensure effective leadership, strategic management and administrative support to the Board and Executive Management through ensuring efficient and professional company secretariat services.
 
POSITION VALUES
This position assists and guides the Board and Executive in their pursuit for organizational growth, good corporate governance and efficient and effective development, implementation and management of the Board’s programme. It plays a pro-active and central role in the governance of MDDA. The job incumbent acts with integrity, honesty and independence to protect the interests of MDDA and the Board. Company Secretary is key to the efficiency and effectiveness of the board and to the smooth running of MDDA.   
Ensure that the Board, Committees and Management; act in good faith in the interest of MDDA in that they; 
  • do not to act for any collateral purpose 
  • to avoid conflicts of interest 
  • not to make secret profits from dealings for or on behalf of MDDA
 
KEY DUTIES AND RESPONSIBILITIES
Secretarial functions:
  1. Provide administrative support and act as an advisor to the Chairperson, the various Board Committees and Executive Management pertaining to governance and Board matters for Board and its Committee.
  2. Oversees compliance of the provisions of Companies Law and rules made there-under and other statutes and bye-laws of the company
  3. Ensure that business of the company is conducted in the enabling Legislations
  4. Prepare the agenda in consultation with the Chairman and the CEO. 
  5. Efficiently and professionally provide documentation for the Board of Directors and Sub Committee Members on time.
  6. Prepare the Agenda in Consultation with the Chairperson and the CEO and provide all the documents for all meetings for all Board and Board Committee meeting(s).
  7. Arrange with and call and hold meetings of the Board and Committees Members in a well-coordinated and professional manner.
  8. Ensure the Board is kept updated of changes or new developments pertaining to governance matters.
  9. Prepare a correct record of proceedings and make minutes available on time.
  10. Attend Board and Committee meetings in order to ensure that the legal requirements are fulfilled, and provide such information as necessary.
  11. Custodian of all Board and Committee legal and other administrative documents
  12. Ensure confidential and efficient storage of the Board’s records.

 
Legal obligations of Company Secretary:
  1. File various statutory documents/returns as required under the legal provisions 
  2. Maintain proper Minutes, Books and Registers of MDDA as required by Law
  3. Convene/arrange meetings of the Board 
  4. Issue notice and agenda of board meetings to every Director of MDDA
  5. Maintain the following: 
    • Member Register of Directors
    • Directors payments
    • Balloting or voting records
    • Resolutions
    • the register of contracts;
    • Minute books;
    • Proxy register;
    • Register of beneficial media companies 
    • Register of resolutions
  6. Correspond with the Directors of MDDA on various matters as need arise
  7. Implement the policies formulated by the Directors
  8. Cause MDDA the inspection of records by the relevant authorities 
  9. Continuously monitor compliance issues with all applicable legislation
 
Corporate Governance
  1. Review developments in corporate governance
  2. Facilitate the proper induction of Directors into their roles
  3. Advise and assist Directors with respect to their duties and responsibilities
 
 
PLANNING AND DEVELOPMENT
Manage the allocated budget
Report to management on variances from the established budget, and the reasons for those variances
Assist management in the formulation of its overall strategic direction

QUALIFICATIONS AND EXPERIENCE
LLB or equivalent with at 5 years’ legal field;
Admitted Attorney of South Africa
Knowledge and experience in law of contracts;
Knowledge and experience of the media sector will be an added advantage;
Strong administration skills;
Ability to work under pressure.
 
SKILLS AND COMPETENCIES

Ability to communicate technical information clearly
Basic computer proficiency (MS Word, PowerPoint, Excel, etc.);
Ability to disseminate legal information on best practices, documenting lessons learnt, etc.
