Invitation to Serve on the Audit and Risk Committee (ARC) of the Independent Communications Authority of South Africa: Three (3) Positions
The Independent Communications Authority of South Africa (ICASA) is a Chapter 9 institution established under section 192 of the Constitution of the Republic of South Africa. Our mission is to support and promote democracy by regulating the electronic communications, broadcasting, and postal sectors in the public interest. We are now inviting qualified individuals to join the ICASA Audit and Risk Committee (ARC).
ICASA invites applications from suitably qualified and experienced persons to support this important mission by serving on its prestigious Audit and Risk Committee (ARC) for three (3) years.
The ARC is a statutory governance committee for ICASA with statutory duties in line with Section 77 of the Public Finance Management Act 1 of 1999; and responsibilities delegated to it by the ICASA Council.
The overall purpose of the committee is to assist Council in discharging its responsibilities relating to audit, risk, and compliance management. The committee shall provide independent oversight of, among others:
The committee shall provide advice and guidance to management and Council on the adequacy of the Authority’s initiatives for:
Requirements:
● A Relevant Postgraduate degree ● An active registration with a professional body (i.e. registration in good standing) ● Two years or more working experience at a senior management level in some or all of the following fields: Internal financial controls and processes, Financial Management, Accounting, Auditor General processes, Human Resources, Governance, Compliance, Regulation environment, Corporate Governance and Risk management, Organisational Reporting and Internal Auditing ● Experience working at executive level ● Advanced qualifications and certifications such as Chartered Accountant (CA) or Certified Internal Auditor (CIA) qualification will be an added advantage ● Experience in the ICT sector, private and public sector processes will be an added advantage ● Working knowledge of applicable legislation ● Previous experience serving as a member of a Steering or Governance Committee will be an added advantage.
Preference will be given to candidates who are currently serving in three (3) or less audit or board committees, this is to encourage member availability for scheduled meetings and to serve with dedication and commitment. The successful ARC member must possess qualities of independence, integrity, objectivity, ability to exercise sound judgement and good communication skills in providing oversight responsibilities and to advice Council and Management.
Term of Office: The successful candidates will serve as part-time members of the ARC for three (3) years.
Successful candidates will be subject to the ARC Terms of Reference and other terms and conditions as prescribed by law and the Council of the Authority. As per Treasury Regulation 20 under Government Notice No. R. 225, published in Government Gazette No. 27388 of 15 March 2005, persons employed by state organs or those serving on such Commissions and Committees of Inquiry will not be entitled to additional remuneration or fees payable for partaking in the work of the ARC.
Disqualification in terms of section 6 (1) (d) to (l) of the ICASA Act No. 13 of 2000 (as amended) is applicable:

- The effectiveness of the Authority’s assurance functions and services, with particular focus on combined assurance arrangements, including external assurance service providers, Internal Audit and the finance function.
- The integrity of the Annual Financial Statements and, to the extent delegated by the Council, other external reports issues by the Authority.
The committee shall provide advice and guidance to management and Council on the adequacy of the Authority’s initiatives for:
- Governance Structure;
- Risk Management;
- Safeguarding of assets;
- Operation of adequate and effective system and control processes;
- Oversight of internal and external audit activities, and other assurance providers; and
- Organisational reporting including financial statements in compliance with all applicable legal and regulatory requirements and accounting standards.

- are an office bearer or employee of any party, movement or organisation of a party-political nature;
- or any immediate family member has a direct or indirect financial interest in the electronic communications, postal or broadcasting industry;
- or their business partner or associate holds an office in or with, or is employed by, any person or body, whether corporate or unincorporated, which has an interest contemplated above;
- are an un-rehabilitated insolvent;
- have been declared by a court to be mentally ill or disordered;
- have at any time been convicted, whether in the Republic or elsewhere and have been sentenced, after the commencement of the Constitution of the Republic of South Africa, 1993 (Act No.200 of 1993), to a period of imprisonment of not less than one year without the option of a fine; or
- have at any time been removed from an office of trust due to misconduct.
