​CALL FOR NOMINATIONS FOR NONEXECUTIVE DIRECTORS

 
TO SERVE ON THE BOARD OF THE DURBAN MARINE THEME PARK (uShaka Marine World) AND THE DURBAN INTERNATIONAL CONVENTION CENTRE (DICC)
 
EThekwini Municipality, as a shareholder of the Durban Marine Theme Park (DMTP) and Durban International Convention Centre (DICC) and hereby represented by the City Manager, call for nominations for the appointment of a Non – Executive Director to the Board of Directors for both the DMTP and DICC.
 
OVERVIEW
The DMTP known as uShaka Marine World was established to serve primarily as a catalyst for economic development for the City of Durban and the Province of KwaZulu-Natal.
The Park consists of Sea World, Wet ‘n Wild, uShaka Kids World, Sea Animal Encounter Island, Dangerous Creatures and the Village Walk. The South African Association for Marine Biological Research (SAAMBR) is an independent contractor operating the Sea World component of the theme park. The DICC was established to be a catalyst for economic development and job creation for the Province and City and to elevate the profile of the destination.
The Inkosi Albert Luthuli International Convention Centre complex incorporates the Durban International Convention Centre, the Durban ICC Arena and the Durban Exhibition Centre.
 
BOARD OF DIRECTORS
In terms of the Memorandum of Incorporation (MOI) of the Durban Marine Theme Park and the Durban International Convention Centre the Board of Directors (“the Board”) is appointed by the Council. The Board comprises of 9 (Nine) non-executive Board members each and positions within the Board will soon become vacant for both entities.
 
ELIGIBILITY CRITERIA
In order to be considered for appointment, candidates must meet the following criteria:
• Hold a minimum of a bachelor’s degree or an equivalent from a reputable tertiary institution or have extensive demonstrable experience in a given sector;
• No previous criminal record;
• Be of sound mind;
• Not declared insolvent over the past fi ve years;
• Not under debt counselling;
• Be a South African citizen.

GROUNDS OF A DISQUALIFICATION
A candidate will not be considered for the position as member of the Board if he / she is determined by the Council, in its sole discretion, to be ineligible or has been disqualified in terms of Section 69 of the Companies Act 71 of 2008.




NOMINATION PARTICULARS

Prior to appointment, the Council reserves the right to conduct probity checks (criminal and civil records, reference checks, verification of qualifications and experience, credit record and integrity test) and the candidate, by submission of his / her Nomination Form consents thereto. Every nomination of a person for appointment to the Board must be signed by a proposer and a seconder, none of whom may be the candidate and must also contain the candidate’s signed acceptance. No person may nominate or second more than one candidate. Please note that all meetings of the Board and Subcommittees will take place during office hours.

• Nominations should be signed by the person nominating and the nominee to indicate acceptance
• Nominations should be accompanied by a detailed curriculum vitae, a certified copy of identity document, and certified copies of qualifications
• Self-nomination is not allowed

NB. Theme Park or Tourist Attraction experience is always preferred.

TERMS AND CONDITIONS
The following general criteria will be applied in assessing the suitability of the candidate:
a) Current / previous experience as a non-executive board member;
b) Undergraduate and post graduate qualifications;
c) Experience with / knowledge of the hospitality industry;
d) Knowledge of legislative regulations that govern municipal entities (e.g. MFMA);
e) Time availability.
 
During the recruitment and selection process, the Council will take cognizance of and give preference to skills, gender and race as may be required in order to ensure a balanced and diversified Board. The candidate must be capable of providing strategic direction to the nominated entity in line with applicable development, transformation and empowerment agendas of local government. The appointment of the non-executive director to the Board is aimed at bringing an external, independent perspective to the management of the nominated entity. In addition, it is imperative that the candidate should be of the highest ethical and moral character and should have a reputation, both personal and professional, consistent with the image and integrity of the nominated entity. In this regard, the candidate will be required to specify any association with or involvement in other entities which may place them in a position in which their personal interest conflict or may possibly conflict with their duties as a member of the Board. The candidate should be highly accomplished in their respective field, with superior credentials and recognition.
