CENTRAL ENERGY FUND (CEF)
 
Legal Advisor: Mergers and Acquisitions 
Fixed Term Contract: 3-5 years 
 
CEF (SOC) Ltd is involved in the search for appropriate energy solutions to meet the energy needs of South Africa, The Southern African Development Community (SADC) and the sub-Saharan African region, focussing on clean energy options as well as fossil fuels as per the mandate from the Department of Energy. It also manages the operation and development of the oil and gas assets of the South African government including strategic crude oil assets and management. CEF controls entities with commercial and developmental roles, housed in eight operating subsidiaries. 
 
Reporting to the Group Executive: Legal, Compliance and Risk Management, the incumbent will deliver effective, efficient, high-quality legal and related services to CEF to ensure that the company meets its business objectives at an acceptable risk in accordance with good business practice. 

 
MAJOR RESPONSIBILITIES INCLUDE 
  • Advising on a wide range of matters, with a particular focus on BEE, public and private M&A, mining, oil and gas acquisitions, private equity, re-organizations and general corporate/M&A 
  • Drawing from multidisciplinary capabilities in finance, tax, and competition and other relevant practice areas to help reduce risk and optimize value for the client throughout the deal life cycle 
  • Collaborating closely with client deal teams and industry specialists to help design practical and strategic solutions to legal and commercial concerns 
  • Developing relationships including gaining a good knowledge of businesses, economic drivers, market and sector requirements in order to ensure advice is relevant and commercial. 
  • Engaging in business development activities and being active in the promotion of the firm and seeking opportunities for new work 
  • Working as part of a team including assisting with the supervision of M&A transactional work, and taking an active part in sharing knowledge and experience with the working stream leads 
  • Provide legal advice, opinions and interpretation of all legislation administered and affecting CEF Group Business in relation to contracts and implementation of contracts. Including drafting and review of contracts. 
  • To provide support to procurement and must have understanding of PFMA and relevant procurement regulations and process. 
  • Interface with other contracting parties, regulatory authorities and external lawyers 
  • Manage and monitor litigation and/or outsourced legal matters where applicable via outsourced expertise.
 
QUALIFICATIONS AND EXPERIENCE 
• Relevant Bachelor’s degree in Law (preferably LLB qualification), Strictly Admitted Attorney 
• 3- 7 years post admission experience in in Mergers & Acquisitions and/ or Corporate Law

• Skilled in financial modelling, risk-benefit analysis, and Corporate Law 
• Skilled in project financing and transactional advising 
• Highly motivated and driven; self-starter 
• Comfortable learning new technologies 
• In-depth experience within Public Sector Legal Administration. 
• Able to work in a high pressure, fast-paced environment 
• Ability to provide practical legal advice and risk assessment. 
• Ability to work to tight and/or conflicting deadlines. 
• Excellent written communication and drafting skills 
• Initiative and proactivity 
• Maturity, gravitas, emotional intelligence and strong service orientation. 
• Ability to develop strong relationships with clients and to take responsibility for these relationships.
