JOB PURPOSE
To ensure the company and its subsidiaries adhere to legal and regulatory requirements, supports effective governance, foster a proactive and preventative ethics culture and acts as a liaison between the board of directors, management, and shareholders.
KEY PERFORMANCE AREAS
Corporate Governance
- Ensuring compliance with the companies’ Act and King Reports on Good Corporate Governance as well as any other relevant legislation.
- Providing the directors of the companies collectively and individually with guidance as to their fiduciary duties, responsibilities and powers.
- Reporting to the companies’ boards any failure on the part of the company or a director to comply with the Memorandum of Incorporation or rules of the company or the Act.
- Updating reviewing and enforcing the Group’s MOIs, Board Charters and Committee charters
- Certifying in the companies’ annual financial statements whether the companies have filed required returns and notices in terms of the Companies’ Act, and whether all such returns and notices appear to be true, correct and up to date.
- Ensuring that a copy of the company’s annual financial statements as well as those of subsidiaries are sent, in accordance with the Act, to every person who is entitled to it.
- Carrying out the functions of a person designated in terms of section 33(3) [Filing of annual return]
- Oversee the onboarding of new directors by ensuring that they are properly oriented concerning corporate governance, Ethics and legal compliance.
- Coordinate the conducting of Board performance assessments and submit relevant reports to DEE.
- Assisting the Boards in strategic planning and decision making by providing insights on corporate governance and compliance
- Provide independent, objective and authoritative advice to the Board and its Committees on corporate governance, statutory and regulatory compliance matters.
- Monitor legislative, regulatory and governance developments and proactively advise Directors and the Group on their implications and required actions.
- Ensure that Board and Committee proceedings, minutes, resolutions and statutory records are accurately prepared, maintained and managed in accordance with applicable legislation and governance requirements.
- Provide ongoing guidance and advice to Directors on their duties, responsibilities, fiduciary obligations and potential liabilities.
- Facilitate and promote continuous governance education and development of the Board and its Committees to ensure Directors remain informed of emerging governance, legislative and regulatory requirements.
- Support the effective implementation and continuous improvement of sound corporate governance practices across the Group
Stakeholder Management/Communication
- Oversees the administration of shareholder meetings or the holding company and subsidiaries, including annual general meetings (AGMs), extraordinary general meetings (EGMs)and ensures proper communication between the companies and their shareholders and stakeholders.
- Addresses shareholder concerns, queries, and ensures shareholders’ rights are upheld.
- Facilitating communication between role players and serving as the primary point of contact for communication liaison with shareholders.
- Acts as a liaison between EXCO and the Board.
Board Support & Administration
- Ensures preparation and timeous circulation of the Group Board Annual calendar & work plan to enable advance planning by the Group and the directors of the various boards.
- Coordinates and supports boards & board committee meetings for the holding company and subsidiaries through ensuring preparation and timeous circulation of meeting documentation, minutes agendas as well as keeping record of such.
- Ensures management provides feedback for matters arising from the Boards and Board committee meetings.
- Ensures the Maintenance of the companies’ statutory records
- Ensures timely filings with regulatory bodies.
- Manage the Group Secretariat Budget
- Monitor Board performance and identify areas of improvement and coordinate requisite training for directors
- Liaise with auditors for a successful governance audit
Ethical Leadership and Culture:
- Promote a culture of ethics and integrity within the Group.
- Conduct Risk assessments and develop ethics within the Group.
- Lead by example, demonstrating ethical behaviour in all decisions and actions.
- Conduct training programs for employees at all levels to reinforce ethical decision-making.
- Provide advisory services and promote an ethical work environment.
- Provide an internal review of other corporate policies to ensure consistency and integration with the Group’s ethics philosophies
Monitor Compliance & Risk:
- Oversee the implementation and adherence to ethics-related policies, procedures, and compliance programs.
- Monitor and assess the effectiveness of the organization’s ethics programs.
- Ensure compliance with external regulatory requirements, industry standards, and internal guidelines.
- Investigate potential ethical violations, misconduct, or conflicts of interest.
- Collaborate with legal, HR, and other departments in handling ethical issues or violations.
- Proactively identify and manage ethics-related risks within the Group.
Reporting and Advisory
- Report regularly to senior leadership (e.g., CEO, Board of Directors) on the state of ethics and compliance within the organization.
- Advise senior management on ethical issues and provide recommendations on improvements.
- Serve as an independent advisor to the Board and senior leadership on ethical matters.
Monitoring External Developments
- Stay informed about emerging ethical issues, trends, and best practices in the industry.
- Adjust internal ethics strategies as necessary to reflect these changes
JOB REQUIREMENTS
Knowledge and skills:
- Sound knowledge of Commercial Law as well as primary legislation applicable to a nuclear environment, e.g. PFMA & Treasury Regulations, Companies Act, King Code on Corporate Governance and associated statutes and/or regulatory framework.

Job profile:
To ensure that all electrical equipment machinery is maintained in good and safe working order for all NTP Facilities
Key Performance Areas
Key responsibilities will include but will not be limited to the following:
Preventative Maintenance
• Undertake preventative maintenance according to the planned maintenance schedule as issued by team leader.
• Fully complete documentation in terms of inspection lists and relevant Sop’s
• Where there is no Sop ‘s a conventional or an RPWP must be filled
• Completed documentation should be returned to the team leader.
• Identifying areas for Improvement by analysing PM data to identify Trends and to Optimise Electrical System Reliability.
• Schedule time between Maintenance and Production for preventative maintenance on weekly basis
• Complete Predictive Maintenance using tools like Thermal imaging, Vibration analysis and Oil Sampling.
• Minimize Downtime and Extend equipment Lifecycle.
Testing and Measurements on Critical Equipment’s to verify if the equipment is operating within Safe and Efficient parameters.
Corrective Maintenance
• Documentation should be completed accurately on the Fault and diagnosis and Repairs including parts to be replaced.
• Prioritize on urgent Maintenance break-down- Prompt Response to Breakdown.
• Accurate Diagnostics: Identifying the Root Cause of the Fault / Failures to ensure effective Repairs and Replacement to Restore electrical Systems to a Safe and Functional State.
• Safety Protocols – Follow Established Safety Procedures to prevent Injury and incidents
• Electrical motors and control panels fault-finding
• Keep adequate stock of the critical spares
Quality Workmanship – Ensure repairs are done to high standard, Meeting relevant Codes and Regulations.
New Installations
• Undertake ad hoc electrical installations (construction) as required
• Obtain drawings from the Drawing office and obtain Certificates of compliance from inspector/contractor
• Adherence to Specifications- ensuring work done is in accordance with Project Specifications, drawings and relevant codes and regulations.
• Quality Control Verifying that all materials and workmanship meet high standards and are installed correctly.
• Collaboration with other Trades and Engineering Department to ensure smooth project execution.
• Timely Completion – Meeting Project Deadlines.
• Testing and Commissioning -Verifying all Systems installed correctly and Functions as intended including testing and commissioning.
• Undertake ad hoc electrical installations (construction) as required
• Documentation of Filling from the beginning to End of Project-” As Built drawings and Documentations”.
• Compliance with Regulations – meets relevant Electrical Codes, Standards and Regulations.
• Liaise with the drawing office to ensure that the drawings are updated to standard.
SHEQ Management
• Adhere to all safety aspects of NTP.
• Conduct Lebo observations according to NTP schedule.
• Safety Protocols follow established Safety Procedures to prevent Injury and incidents
• Quality Workmanship ensure repairs are done to high standard, Meeting relevant Codes and Regulations.
Requirements

Job Purpose
The purpose of this position is for the incumbent to assume Scientist responsibilities for Organic Laboratory W.R.T. development and validation of test methods using latest technologies as well as establishment of technical quality assurance practices aimed at ensuring accuracy and reliability of laboratory results and information.
Key Performance Areas
1. Financial recovery and Sustainability
- Apply scientifically accredited and acceptable process steps to interpret data and provide technical solutions that are of exceptional quality and cost-effective
- Perform analysis of ad-hoc samples for which validated methods do not exist by using acceptable laboratory practices to provide solutions to new challenges.
- Report back accurately and clearly on assigned tasks within project framework
2. Technology Development and Improvement
- Develop and validate methods and systems, in accordance with relevant standards to implement new applications to improve lab capabilities
- Assist with funding proposals to ensure that appropriate actions (such as purchase of new instrumentation and hiring of staff) are implemented.
- Collaborate with support functionaries to diagnose and find solutions to technical problems.
- Facilitate instrument maintenance activities (planned and unplanned) including putting measures to prevent breakdowns that can make the lab unavailable for prolonged periods
3. Marketing
- Develop factsheets to promote products and services for NLS.
- Participate in scientific panels, working groups and scientific conferences at a national level to promote LS capabilities to the market.
- Participate in at least two marketing events organized by the department in a year
4. Product development
- Produce technical reports on projects or activities carried out.
- Contribute to product development activities assigned to him/her.
- Undertake product concept development activities assigned to him/her.
5. OHS, QMS and Regulatory Compliance
- Attest to the performance of methods and instruments by using annually condensed reports on quality control data to ensure the improvement of quality control measures and analytical results.
- Support the laboratory quality system (e.g. ISO/IEC 17025) accreditation and maintenance in accordance with activities allocated in terms of NLS Quality Resource Plan.
- Participate in BBS activities.
- Develop and revise procedures and protocols in line with national and international RC guidelines.
- Lead investigations of technical non-conformances for applicable management systems to the lab.
6. Human Capital Development
- Provide training on the theory and practical/experiments of techniques and methods in the areas of operation to ensure continued competence of technical personnel.
- Provide training and practical assistance to lab technicians/analysts in basic lab practices, routine analysis and newly developed methods.
- Prepare and supervise procedures for lab analysis, data handling and reduction, and the use of validated analytical methods.
- Acquire and retain professional certification up-to-date and valid on an annual basis

- The In-depth understanding and knowledge of GC, GC-MS, FTIR, IC, LC-MS, & HPLC equipment used in the organic laboratories.
- Ability to perform trouble shooting on the above lab equipment and instrumentation.
- Understanding / insight on project management skills.
- Knowledge and understanding of international best practices such as GLP, GMP, ISO, ASTM, CTBTO, WHO, IAEA, etc.
- The ability to perform the Chromatographic test analysis.
- The ability to perform directed scientific methods/procedure development in the field of interest with minimal guidance
- The ability to operate selected instruments/ equipment/ apparatus and to interpret the results
- The ability to integrate and interpret analytical data from different techniques
- The ability to write experimental reports and to make oral presentations with colleagues, peers, etc.

- You will need to pass a pre-employment and a routine annual medical examination to be eligible to perform duties associated with this position.
- You will have to work as a registered radiation and chemical worker by passing all the in-house training to be given to you in this regard.

- Some degree of lifting and heavy work is common with the daily moving of files, instrument and supplies.

Minimum Qualifications:

- 5-7 years practical experience of Microsoft Excel, MS Word, Power Point, Share Point, and LIMS.
- Certificate in SANAS ISO/IEC 17025 Systems and ISO 9001.
- Be eligible to be registered as Radiation & Chemical Worker
- Professional Certification in Natural Sciences or legible for certification (i.e. SACNASP)
