MANDATE OF THE AUDIT AND RISK COMMITTEE (ARC):

·       The Audit & Risk Committee (ARC) is constituted as a committee of the Board of Directors of the South African National Roads Agency SOC Limited (the Board/ Accounting Authority) to support it in the execution of its independent oversight duties with respect to SANRAL’s governance, risk management, internal controls, assurances functions and public accountability reporting including the quarterly and annual reporting in compliance with all applicable laws, standards and practices. 

·       In terms of Section 16 of the SANRAL Act, the Board may from time to time appoint one or more committees to assist the Board in performing its functions. A Board Committee may consist of members of the Board or one or more other persons (non-Board Members). 

·       In terms of Treasury Regulation 27, the majority of the members of an audit committee shall consist of non-executive members appointed by the accounting authority, although committee members need not all be members of the accounting authority. The majority of persons serving on an audit committee must be financially literate. 

·       The mandate of the Audit and Risk Committee is formalized through the Audit and Risk Committee Terms of Reference, which are approved by the Board from time to time. The objective of the ARC is to assist the Board with financial management, auditing, risk management, compliance management, supply chain management, internal controls and reporting matters as prescribed by the PFMA, the Companies Act, the SANRAL Act, the Treasury Regulations and the King V Code as well as matters delegated by the Board from time to time. 

·       Independent Committee Members/ Advisors will be required to enter into a performance agreement with SANRAL. 

 

AUDIT AND RISK COMMITTEE MEMBERS/ ADVISORS

 

MINIMUM REQUIREMENTS: 

·       NQF level 8 Accounting/Auditing Qualification or equivalent.

·       Chartered Accountant or Registered Auditor with registration with South African Institute of Chartered Accountants (SAICA) or the Independent Regulatory Board of Auditors (IRBA).

·       Ten (10) years post qualification experience in finance, auditing, compliance, or risk management.

·       At least 5 years’ experience as a Board, Audit or Risk Committee member.

·       Ten (10) years public sector experience preferably within State-Owned Enterprises.

·       Extensive working knowledge of PFMA, Treasury Regulations including relevant SCM legislation and prescripts.

·       In good standing with applicable professional body. 

 

COMMITMENT TO MEETINGS: 

·       The ARC is required to meet at least 4 times a year and may hold other meetings as and when it becomes necessary.

MANDATE OF THE LOSS CONTROL COMMITTEE (LCC):

·       The mandate of the Loss Control Committee (LCC) is to investigate irregular, fruitless and wasteful expenditure and to standardize loss determination process relating to irregular, fruitless and wasteful expenditure. The functions of the LCC are, among other things: 

·       To ensure that the requirements of National Treasury Instruction Note No.4 titled Compliance and Reporting Framework and its Annexure A are complied with.

·       To ensure that any weaknesses/ breakdowns in internal controls within the supply chain management system are identified and mitigated.

·       To determine, once the investigation is complete, whether any loss should be recovered from the responsible employee.

·       To recommend appropriate consequence management, where applicable.

·       Where a loss is to be recovered from responsible employee, to ensure that it is recovered in terms of the Debt Management Policy.

·       To ensure that losses that are of criminal, corrupt or fraudulent activities are reported to the law enforcement agencies (e.g. SAPS or Hawks) as per the Prevention and Combating of Corrupt Activities Act (PRECCA).

 

Each member will support the LCC with subject matter expertise and with respect to any matters necessary or appropriate to the accomplishment of its responsibilities under the direction of the Chairperson of the LCC. The LCC reports to the Board through the Audit & Risk Committee. Members will be required to enter into a performance agreement with Sanral. 

 

 

LOSS CONTROL COMMITTEE (LCC) CHAIRPERSON

 

MINIMUM REQUIREMENTS:

·       NQF level 8 Auditing Qualification or equivalent

·       Chartered Accountant (CA) or Registered Auditor (RA) or Certified Internal Auditor (CIA), and registration with relevant professional bodies (such as SAICA, IRBA, IIASA).

·       10 years working experience in an external audit, internal audit, risk management or compliance management environment, with 3 years leadership/ managerial experience.

·       4 years’ experience of chairing a governance structure within public sector, such as Risk Committee, Audit Committee, Social & Ethics Committee, or a Board.

·       Working knowledge of PFMA, PPPFA, Treasury Regulations and relevant SCM legislation and National Treasury Instructions.

·       Working knowledge of compliance management, risk management and audit experience in establishing and implementing audit strategies and workplans to address audit findings.

·       Loss Control Committee membership/past membership will be an added advantage. 

 

 

LOSS CONTROL COMMITTEE MEMBER: ENGINEERING EXPERT

 

MINIMUM REQUIREMENTS: 

·       NQF level 8 Engineering Qualification in any of the following disciplines - civil, construction, project, structural, mechanical engineering or equivalent discipline.

·       Public/Business Administration qualification and will be an added advantage.

·       Registration with relevant professional body such as Pr. Engineer registration with ECSA.

·       10 Years working experience in engineering and construction environment, with 3 years leadership / managerial experience.

·       Working knowledge of FIDIC contracts, project management and multi-disciplined engineering / construction environment.

·       Working knowledge of PFMA, PPPFA, Treasury Regulations and relevant SCM legislation and National Treasury Instructions.

·       At least 3 years’ experience in compliance related committees as a senior member. 

 

 

LOSS CONTROL COMMITTEE MEMBER: LEGAL EXPERT

 

MINIMUM REQUIREMENTS:

NQF level 8 Legal qualification or equivalent.

Registration with relevant professional body such as Legal Practice Council registration

10 Years working experience in a legal environment with 3 years leadership / managerial experience.

Working knowledge of at least contract law, financial law, corporate law construction law. Experience in Environmental Law will be an added advantage.

Working knowledge of PFMA, PPPFA, Treasury Regulations and relevant SCM legislation and National Treasury Instructions.

At least 3 years’ experience in compliance related committees as a senior member. 

 

 

LOSS CONTROL COMMITTEE MEMBER: SCM EXPERT

 

MINIMUM REQUIREMENTS:

·       NQF level 8 Qualification in Supply Chain Management (SCM), Finance, Commerce, Law, or related field.

·       Registration with relevant professional body.

·       10 Years working experience in SCM, procurement, or contract management, with 3 years leadership / managerial experience.

·       At least 5 years working knowledge of PFMA, PPPFA, including the implementation of relevant Treasury Regulations, PPPFA regulations, DTI Regulations, CIDB Regulations, Treasury Instructions and SCM policies.

·       At least 5 years’ experience as a member of a Governance Structure within Public Sector.

·       Legal or regulatory experience in procurement or contracts management will be an added advantage. 

 

COMMITMENT TO MEETINGS: 

The Loss Control Committee is expected to hold regular meetings (+/-12 meetings in a year), in keeping with the incidents identified and for which loss is to be determined.

MANDATE OF THE ROAD INFRASTRUCTURE AND PROJECTS COMMITTEE (RIPCO):

The Road Infrastructure and Projects Committee (RIPCO) is a Committee of the Board, which is established in terms of the SANRAL Act. In terms of Section 16 of the SANRAL Act, the Board may from time to time appoint one or more committees to assist the Board in performing its functions. A Board Committee may consist of members of the Board or one or more other persons (non-Board Members).

The mandate of RIPCO is to assist the Board with its oversight responsibilities over the planning, the design, the construction, the rehabilitation and the maintenance of national road infrastructure, including the monitoring of related major capital expenditure (CAPEX) and project management. The mandate of RIPCO is formalized through the Road Infrastructure and Projects Committee Terms of Reference, which are approved by the Board from time to time. The function of RIPCO is, amongst others,

·       To assist the Board in identifying and monitoring risks impacting infrastructure delivery.

·       To review SCM-related policies and processes impacting infrastructure delivery.

·       To evaluate risks associated with major procurement decisions and deviations from standard processes.

·       To review assurance reports related to the awarding of major contracts.

·       To ensure recommendations to the Board align with applicable legal, regulatory and policy requirements

·       To provide oversight over tender and procurement functions.

·       To review major contract award.

·       To ensure compliance and regulatory oversight.

·       Risk management and governance.

Independent Committee Members/ Experts will be required to enter into a performance agreement with SANRAL.

 

ENGINEERING EXPERT

The Engineering Expert will contribute specialist insight to ensure that decisions are technically sound, aligned with infrastructure best practice, and support SANRAL’s mandate for the planning, development, maintenance and management of the national road network.

 

 MINIMUM REQUIREMENTS:

·       NQF level 8 Engineering Qualification in any of the following disciplines - civil, construction, project, structural, mechanical engineering or equivalent discipline.

·       Experience in roads design and construction will be an added advantage.

·       Registration with relevant professional body such as Pr. Engineer registration with ECSA.

MINIMUM REQUIREMENTS:

·       NQF level 8 Qualification in Supply Chain Management (SCM), Finance, Commerce, Law, or related field.

·       Registration with relevant professional body and international professional accreditation (e.g. Chartered Institute of Procurement & Supply (CIPS), Certified Supply Chain Professional (CSCP) and Chartered Institute of Logistics and Transport (CILT), will be an added advantage.

·       10 Years working experience in SCM, procurement, or contract management, with 3 years leadership / managerial experience.

·       At least 5 years working knowledge of PFMA, PPPFA, including the implementation of relevant Treasury Regulations, PPPFA regulations, DTI Regulations, CIDB Regulations, Treasury Instructions and SCM policies.

POSITION OBJECTIVE:

The Contract manager will be responsible for overseeing the full lifecycle of contracts and managing vendor relationships to ensure alignment with SANRAL’s strategic and operational goals. This role involves ensuring compliance with contractual terms, negotiating agreements, monitoring performance, and maintaining accurate contract documentation. The specialist will also work closely with internal teams and external vendors to mitigate risks, enhance service delivery, and drive value across all contracted engagements.

 

MINIMUM REQUIREMENTS:

·       An NQF Level 7 qualification in Law, Contract Management, Supply Chain Management and related.

·       A minimum of 5 years’ experience in Contract Management within a tolling environment and related.

ADVANTAGEOUS:

·       ITIL Foundation Certificate

 

TECHNICAL COMPETENCIES:

·       In-depth knowledge of South African contract law, including essential elements of valid contracts, breach, remedies, and termination clauses.

·       Familiarity with the PFMA (Public Finance Management Act), Treasury Regulations, and Preferential Procurement Policy Framework Act (PPPFA).

·       Understanding of Supply Chain Management processes, policies, and governance frameworks within public institutions.

KEY RESPONSIBILITIES:

 

Contract Lifecycle Management:

·       Drafting, Reviewing, and Negotiating Contracts: Develop and review contracts to ensure legal soundness, compliance with public sector procurement regulations, and alignment with SANRAL’s strategic objectives.

·       Contract Implementation: Coordinate and oversee the implementation of contracts, ensuring all parties understand and deliver on their obligations.

·       Contract Administration: Maintain a centralised contract repository, track milestones, renewal dates, amendments, and manage associated documentation.

·       Contract Close-Out: Facilitate proper close-out procedures, ensuring all deliverables have been met, and lessons learned are captured.

 

 

Vendor Management & Performance Oversight:

·       Performance Monitoring: Establish and apply contract management frameworks to monitor vendor performance against Service Level Agreements (SLAs) and Key Performance Indicators (KPIs).

·       Compliance Enforcement: Ensure vendors adhere to contract terms and performance standards, applying penalties or incentives where contractually permitted.

·       Service Delivery Reviews: Conduct formal reviews in collaboration with internal contract owners and the Sub-Contracts Manager.

·       Payment Verification: Validate deliverables and invoices before payment processing, ensuring alignment with contract terms and value-for-money principles.

 

Risk Management & Regulatory Compliance:

·       Risk Identification & Mitigation: Assess and flag contractual risks, proactively developing mitigation strategies in consultation with legal and operational teams.

·       Regulatory Adherence: Ensure all contract management activities comply with the Public Finance Management Act (PFMA), National Treasury regulations, SANRAL policies, and applicable laws.

·       Dispute Resolution: Support the resolution of contractual disputes through structured engagement with the Legal Unit and Executive Management. 

 

Stakeholder Engagement & Collaboration:

·       Internal Coordination: Liaise with Procurement, Legal Services, Operations, and Finance teams to ensure integrated contract management.

·       External Vendor Liaison: Maintain constructive working relationships with contractors and service providers throughout the contract lifecycle.

·       Communication: Provide clear and timely updates to relevant stakeholders on contract status, risks, and key developments.

Description

POSITION OBJECTIVE:

The incumbent will be responsible for overseeing the continuous monitoring, operational availability, and performance of SANRAL’s critical ICT infrastructure, enterprise applications, network services, and Intelligent Transportation Systems (ITS). The role ensures proactive identification, escalation, and resolution of operational incidents through real-time monitoring, event correlation, service health analysis, and operational coordination. The incumbent supervises monitoring analysts, ensures adherence to operational procedures, supports service continuity, and drives continuous improvement in monitoring effectiveness across SANRAL’s digital environment.

 

 

MINIMUM REQUIREMENTS:

·       A Bachelors degree or an equivalent qualification at an NQF level 7: Information Technology, Electrical Engineering, Electronic Engineering or equivalent.

·       A minimum of five (5) years relevant experience in systems or networking monitoring.

·       A minimum of three (3) years supervisory or team lead experience.

Certification:

·       ITIL Foundation

·       CCNA and/or

 

CCNP

·       The successful candidate will be required to provide afterhours support during major network incidents or infrastructure emergencies.

 

ADVANTAGEOUS:

·       Fibre Optic Network Design / Telecommunications Engineering certifications.

TECHNICAL COMPETENCIES:

·       Understanding of standard procedures for handling customer claims and complaints.

·       Familiarity with relevant industry regulations and internal compliance standards.

·       Deep understanding of Facilities products/services.

·       Understanding proper documentation practices for audit trails and case history.

·       Electrical fault finding, repairing, and installation experience.

·       11 KVA medium voltage switchgear will be advantageous.

 

KEY RESPONSIBILITIES:

 

Monitoring Operations Supervision: 24/7 Environment

·       Supervise and coordinate 24/7 monitoring operations within SANRAL’s Central Operations Centre (COC), ensuring uninterrupted operational oversight of all critical ICT services.

·       Oversee continuous monitoring of enterprise systems, including, business applications, network infrastructure, server environments, databases, Intelligent Transportation Systems (ITS), toll operational platforms, payment processing systems and website and customer-facing digital services.

·       Ensure real-time visibility of system performance, service health, alarms, and infrastructure availability through integrated monitoring dashboards.

·       Monitor and validate operational dashboards, event consoles, and automated alerts generated by monitoring tools.

·       Ensure proper shift handover processes, including transfer of unresolved incidents, operational updates, and outstanding risks.

·       Verify that all monitoring activities comply with approved Standard Operating Procedures (SOPs), escalation protocols, and service continuity processes.

·       Coordinate operational response during service disruptions, system failures, and infrastructure incidents.

·       Ensure proactive identification of operational risks before they escalate into service outages.

·       Maintain oversight of all mission-critical systems to ensure operational readiness across SANRAL’s digital services environment.

·       Escalate critical service degradation affecting tolling operations, financial systems, and traffic management services.

 

Incident Detection, Escalation and Response Management

·       Ensure rapid identification, validation, and classification of incidents affecting monitored systems.

·       Assess system alerts to determine operational severity, business impact, and urgency.

·       Distinguish between genuine incidents, false positives, and informational events.

·       Coordinate timely escalation of incidents to relevant technical teams, including Infrastructure support, Network support, Application support, Database administrators, Security teams and external service providers.

·       Ensure incidents are accurately logged, categorised, prioritised, and tracked in IT service management platforms.

·       Monitor incident response and resolution times against approved service level agreements (SLAs).

·       Ensure all critical incidents are escalated within defined timelines.

·       Provide operational oversight during Priority 1 and Priority 2 incidents, ensuring immediate response and structured communication.

·       Coordinate bridge calls and operational communications during major incidents.

·       Track incident lifecycle from detection to closure, ensuring completeness of incident records.

·       Review recurring incidents and identify escalation trends requiring permanent corrective action.

·       Support post-incident reviews and Root Cause Analysis (RCA) processes.

 

System Health Monitoring and Performance Oversight

·       Monitor overall health, performance, and availability of ICT infrastructure, applications, databases, networks, and operational systems.

·       Ensure proactive identification of performance bottlenecks, capacity constraints, and service degradation risks.

·       Analyse operational metrics, trends, and system performance indicators to support service optimisation.

·       Coordinate with technical teams to address infrastructure, application, and network performance issues.

·       Monitor capacity utilisation and recommend improvements to support business growth and operational resilience.

·       Ensure operational monitoring thresholds, baselines, and performance indicators remain aligned with business requirements.

·       Validate system availability targets and ensure compliance with agreed uptime requirements.

·       Support proactive maintenance activities aimed at improving system stability and service reliability.

 

Monitoring, Administration and Optimisation Tools

·       Oversee the administration and effective operation of enterprise monitoring tools used within the COC.

·       Ensure monitoring systems are configured to provide accurate event detection, threshold management, and alerting.

·       Validate integration between monitoring platforms and service management tools.

·       Review and optimise alert configurations to reduce false positives and alert fatigue.

·       Ensure proper maintenance of monitoring dashboards, event correlation engines, and reporting systems.

·       Coordinate tuning of alerts based on operational trends and system changes.

·       Recommend enhancements to monitoring capabilities, including automation and predictive analytics.

·       Support implementation of new monitoring technologies and tools.

·       Ensure monitoring coverage aligns with changes in SANRAL’s ICT environment.

·       Coordinate dashboard enhancements to improve operational visibility for management and technical teams.

 

Reporting, Compliance and Audit Support

·       Produce daily, weekly, monthly, and ad hoc operational monitoring reports.

·       Report on System availability, Infrastructure uptime, Incident volumes, SLA performance, Major service disruptions, Operational risks and Capacity trends

·       Maintain accurate operational records for governance, audit, and compliance purposes.

·       Support internal and external ICT audits by providing monitoring evidence, incident records, and operational logs.

·       Ensure all monitoring activities comply with SANRAL governance standards and ICT operational policies.

·       Maintain updated monitoring documentation, SOPs, incident procedures, and escalation matrices.

·       Assist in preparation of management reports for ICT governance forums.

·       Track compliance with service management and operational reporting standards.

·       Support risk assessments related to operational service continuity.

 

Team Leadership and Operational Coordination

·       Supervise, guide, and support System Monitoring Analysts and operational monitoring personnel.

·       Allocate shift responsibilities and ensure adequate operational coverage across all monitoring functions.

·       Manage shift schedules, standby arrangements, and operational resource planning.

·       Conduct regular performance reviews and operational coaching sessions.

·       Identify skills gaps and support staff development initiatives.

·       Ensure staff adherence to monitoring procedures, escalation protocols, and reporting requirements.

·       Foster a high-performance operational culture focused on.

·       Support onboarding and training of new monitoring personnel.

·       Promote collaboration between monitoring teams and other ICT support units.

·       Ensure operational discipline and consistency across all monitoring shifts.

FACILITIES BUILDING AND MAINTENANCE SUPPORT  GAUTENG

POSITION OBJECTIVE:

The purpose of the Facilities Building and Maintenance Support role is to provide operational, administrative, and technical support to ensure the effective functioning, safety, and maintenance of SANRAL’s Central Operations Centre facilities. The role is responsible for conducting building inspections, monitoring preventative and corrective maintenance, coordinating contractors, responding to incidents, maintaining facilities documentation, and supporting compliance with OHS, fire safety, and facilities management standards. This role ensures that facilities remain functional, safe, compliant, and optimally maintained to support continuous business operations.

 

 

MINIMUM REQUIREMENTS:

·       An NQF 5 Facility Management, Built Environment or equivalent.

·       A minimum of five (5) years’ experience in facilities or property management.

·       Certification:

·       Incident Investigation and/or Hazards Identification and Risk Assessment (HIRA).

·       This role requires extended working hours/standby during emergencies.

 

ADVANTAGEOUS:

·       Basic facilities management training.

·       Knowledge of building maintenance and soft Services.

·       Experience with asset management systems.

·       Understanding of contractor management practices.

·       Basic knowledge of OHS in relation to facilities operations.

 

TECHNICAL COMPETENCIES:

·       Understanding of all facilities operations and security protocols.

·       Knowledge of relevant built environment legislation, safety standards and internal compliance frameworks.

KEY RESPONSIBILITIES:

Building Inspections & Maintenance Monitoring

·       Conduct daily inspections of buildings, equipment, and infrastructure.

·       Identify defects, risks, and non-compliance issues.

·       Log all faults on the Service Desk system and ensure timely updates.

·       Monitor condition of mechanical, electrical, and structural components.

·       Perform routine checks based on preventative maintenance schedules.

·       Ensure contractors complete scheduled maintenance to in accordance to the specification.

·       Track recurring faults and recommend corrective actions.

·       Assist with planning monthly/quarterly maintenance schedules.

·       Assist with stock management, tools, consumables, and spares control.

·       Support space planning, office moves, and workspace optimization.

·       Maintain facility cleanliness, housekeeping, and compliance standards.

·       Maintain facilities assets register (Assist with asset tagging, labelling, and tracking)

·       Support emergency evacuations, drills, and incident escalation.

 

Incident Response and Contractors coordination

·       Respond to maintenance alarms, call-outs, and emergencies.

·       Conduct basic fault diagnosis and apply minor repairs where applicable.

·       Escalate major breakdowns to technicians or senior facilities staff.

·       Ensure swift turnaround time for incident resolution.

·       Provide access and escorting for authorized contractors.

·       Monitor contractor work for safety, quality, and compliance.

·       Verify completion of tasks before job closure.

·       Report poor performance or safety violations.

 

Compliance and Reporting

·       Prepare daily, weekly, and monthly inspection reports.

·       Maintain accurate records of maintenance activities, service reports, checklists, and logs.

·       Support internal/external audits through documentation readiness.

·       Report hazards and implement immediate corrective actions.
