ABOUT THE JOB

To provide advice and operational support to the Company Secretary office by delivering Committee governance and Company Secretarial services to Armscor, ensuring that the Board and its Committees operate effectively, comply with legislative requirements, and adhere to best practice governance frameworks.

 

TECHNICAL / LEGAL CERTIFICATION / PROFESSIONAL REGISTRATION 

 

QUALIFICATIONS

  • Honours Degree in Business/Law/Commerce.
  • A relevant Chartered Secretary/Company Secretarial qualification with professional membership/accreditation through the applicable professional body (e.g. CSSA/ICSA), or an LLB qualification with admission as an Attorney of the High Court of South Africa.

 

EXPERIENCE

  • At least 5 years of relevant experience in a Company Secretarial function, preferably within a public entity, state-owned company, or large corporate.
  • Proven experience in servicing Board and Committee meetings, including minute-taking and agenda preparation.

Demonstrated knowledge of the Companies Act, King Report on Corporate Governance, PFMA, and related regulatory frameworks.

 

CRITICAL PERFORMANCE AREAS

 

Deliver comprehensive Company Secretarial services to the Board and Committees

  • Prepare agendas aligned with Board priorities and strategic objectives.
  • Develop, collate, and distribute comprehensive Board packs.
  • Record accurate minutes and resolutions.
  • Track and follow up on actions arising from meetings to closure.
  • Ensure meetings are effective, compliant, and governance-focused.

 

Provide corporate governance advisory services

  • Advise on the Companies Act, King V, PFMA, and related frameworks.
  • Support interpretation of legislation for operational and compliance purposes.
  • Advise on corporate governance and secretarial practices.
  • Ensure board and Armscor’s activities comply with constitutions, standing orders, and best practice standards.
  • Monitor adherence to statutory and internal governance requirements.
  • Identify governance risks and recommend mitigation strategies.
  • Provide guidance to management and stakeholders on applying governance frameworks effectively.

 

Manage Board and Committee servicing, records, and follow-up

  • Ensure effective servicing of Group and/or operating company Boards, Committees, and associated meetings (summoning meetings, preparing agenda, collating papers, timely distribution, attending, preparing minutes, and follow-up action plans).
  • Maintain accurate Board/Committee records, statutory registers, and rolling action logs.
  • Support annual and extraordinary general meetings.
  • Maintain statutory records and registers in compliance with legislation.

 

Develop and maintain stakeholder relationships & oversee statutory reporting

  • Act as primary point of contact for Chairs, Board members, and Executives.
  • Facilitate collaboration and engagement between Board members, executives, and committees.
  • Promote awareness and understanding of governance responsibilities across the organisation.
  • Support preparation and submission of Annual Reports and statutory returns.
  • Ensure compliance with governing instruments, constitutions, and reporting deadlines.

 

KNOWLEDGE & FUNCTIONAL SKILLS

  • In-depth knowledge of the Companies Act, corporate governance codes (King V), and regulatory requirements for public entities.
  • Understanding of Board governance structures, delegated authorities, and fiduciary duties.
  • Proficiency in minute-taking, report writing, and meeting pack compilation.
  • Familiarity with the governance instruments, constitutions, and standing orders of the organisation.
