SENIOR LEGAL ADVISOR: 1ST LINE SUPPORT

The purpose of this position:
• To provide accurate, prompt, efficient legal services to TCTA, in particular to draft and vet commercial agreements, loan agreements, service provider agreements, property lease and purchase agreement, IT related agreements, labour. related agreements and advice on the settlement of staff disputes, attendance at CCMA proceedings, management of litigation matters, provision of procurement/tender related advice and opinions, opinions to meet conditions precedent requirements, water law and administrative law queries, drafting and vetting of submissions to the National Treasury and other government departments.
KEY PERFORMANCE AREAS OF THE ROLE IN FOCUS, ARE:
1. Provide 1st line Support to the Service Divisions
• Provide prompt legal services and support to the support divisions, including Treasury department.
• Advise, draft and review commercial agreements, loan agreements, service provider agreements, contractors and consultancy agreements, property lease and/or purchase agreements.
• Advise on draft and/or vet IT related agreements (hardware purchase, software purchase and licence, maintenance and support agreements, customisation agreements).
• Provide procurement/tender related advice and opinions, preparation of responses to tenderers and other parties, managing litigation matters related thereto and participation in procurement committee meetings.
2. Back- up function to the Head: Legal and other Legal adviser/s
• Assume the 2nd line support to TCTA's internal support Divisions.
• Research, interpret legislation and render prompt, accurate legal opinions.
• Review and/or draft service, contractors, consultancy, settlement, security, pledge and similar agreements.
3. Liaison with service providers
• Managing and co-ordinating relationship between TCTA and legal service providers.
• Drafting instructions to attorneys and prepare briefs to legal counsel promptly and accurately, follow up on obtaining of opinions, internal vetting/checking of opinions before release to clients.
• Liaison with stakeholders including but not limited to National and Local Government Departments, external attorneys, banking institutions and institutional investors as required.
4. Monitor legislative developments
• Monitor and review new legislation impacting on TCTA provision of written advice thereon.
REQUIREMENTS
• Appropriate Legal qualification, B.A., LLB.
• Attorneys Admission Examination
• At least 8 years post qualification working experience in the corporate sector.
• Legal advisory and drafting experience in commercial contracts and practical hands-on experience in dealing with labour related disputes, tender and procurement related opinion and legal advice.

PROJECTS PROCUREMENT SPECIALIST

The main purpose of this role is to coordinate the implementation of a fair, transparent, equitable, competitive and cost-effective supply chain management strategy in the implementation of bulk raw water infrastructure capital projects.
THE KEY PERFORMANCE AREAS OF THE ROLE IN FOCUS, ARE:
1. Stakeholder Management
(Procurement of goods and services)
• Advises TCTA on procurement of engineering and construction service requirement
• Communicates TCTA Policies and tendering procedures to suppliers of engineering and construction services.
• Implements supplier relationship management strategies for engineering & construction service providers.
• Liaises with internal stakeholders to resolve supplier complaints and disputes.
• Manages project specific briefing sessions for suppliers of engineering and construction services.
• Plans and implement preferential procurement strategy in the implementation of capital projects.
• Participates in the development of construction and engineering tender specifications.
2. Contract Management
• Monitor engineering and construction contracts compliance with the contract provisions and relevant legislations.
• Be an agent for procurement transformation during projects implementation by monitoring transformation targets and report on them.
• Review all subcontracting after award and advise client departments in line with the approved legislations, policies, and procedures.
• Review invoices received and recommend for payment if valid and in line with the contractual provisions.
3. Communication
• Assist with communication of Procurement policies, procedures, and strategies in capital projects to all TCTA staff
• Manages the visibility of SCM activities in projects to employees
• Manages the visibility of activities to suppliers of engineering and construction services
• Manages and monitors the performance of engineering and construction service providers.
4. Administration
• Maintain and update Procurement risk register in capital projects
• Provide inputs to the updating of supply chain management policies and procedures in capital projects.
• Ensures the management of Procurement records for procurement of capital projects
5. Service Quality Management
• Maintains Procurement processes compliant to ISO 9001 and/or SANS standards in capital projects.
• Provide inputs on benchmarking of Procurement services.
REQUIREMENTS
• B Degree or equivalent qualification in Procurement / Supply Chain Management or any other relevant field of study.
• A qualification in Engineering would be advantageous
• At least seven (7) years’ experience in procurement
• Must have experience of procurement in a construction and/or engineering projects environment.
• Implementation of the Broad Based Black Economic Empowerment Act, CIDB Act

SENIOR LEGAL ADVISOR: PROJECT FINANCE &TREASURY

TCTA invites suitably qualified individuals to fill the above role on an emergency basis. The successful candidate will be expected to provide accurate, prompt, efficient legal services to TCTA, in particular to draft and vet agreements and documents relating to project finance agreements, water supply agreements, memoranda of understanding and agreements such water supply agreements, implementation agreements, tariffing annexures, long and short-term loan agreements, opinions to meet conditions precedent requirements, water law and administrative law queries, opinions and advice.
KEY PERFORMANCE AREAS
1. Legal support to Project Finance and Treasury Division
• Provide transaction advice and legal support on the structuring of Project Finance transactions, including structuring and negotiations;
• Provide legal support to the Treasury department including financial and Capital Markets legislations and regulations;
• Advise, draft and review Project Finance, commercial agreements including project implementation, water supply, tariffing annexures, long and short term loan, memoranda of understanding and agreement and similar agreements.
2. Back-up function to the Head: Legal and other Legal Adviser/s
• 2nd line support to TCTA’s Project Management and Implementation and internal support Divisions;

MINIMUM REQUIREMENTS
• Appropriate legal qualifications B.A., LLB; H Dip Tax/Company Law;
• Attorneys admission examination;
• 8 years post qualification working experience in the corporate sector;
• Commercial drafting experience in project finance/ banking/ financial & Capital Markets related contracts essential, transaction structuring experience preferable.
