SENIOR LEGAL ADVISOR: PROJECT FINANCE AND TREASURY

PURPOSE OF ROLE 
The purpose of this role is to provide reliable professional legal services to the TCTA Project Finance & Treasury Division, including drafting, reviewing, negotiating, and settling transaction documents relating to project finance and other types of transactions. Advise, issue legal opinions and brief external legal counsel on project finance and treasury matters. 
 
KEY PERFORMANCE AREAS 
Legal support to the Project Finance and Treasury Division 
  • Provide transaction advice and legal support on the structuring of Project Finance transactions, including structuring and negotiations; research, advice, responses and opinions to TCTA on a wide variety of public sector related legislation including but not limited to the National Water Act, Water Services Act, Public Finance Management Act, Financial Markets Act, JSE debt listing requirements, Municipal Finance Management Act, and related legislation etc 
  • Provide legal support to the Treasury department, including legal advice on financial markets, financial instruments, JSE and other domestic exchanges’ debt listing requirements and regulations 
  • Advise, draft and review Project Finance, commercial agreements including project implementation, water supply, tariffing annexures, finance facilities, and general legal agreements, 
  • Advise and provide legal support on compliance with conditions and requirements of all project transaction documents. 
  • Research, interpret legislation, and render prompt, reliable legal opinions. Review and/or draft service, contractor’s, consultancy, settlement, security, pledge and similar agreements. 
 
Liaison with service providers 
  • Draft instructions to attorneys and prepare briefs to legal counsel promptly and accurately. 
  • Manage contracts with external legal service providers. 
  • Liaise with stakeholders on legal matters, including but not limited to National and Local Government Departments, external attorneys, lenders, and institutional investors as required.
  • Monitor and review new legislation that may impact TCTA; 
  • Update the Project Finance and Treasury team on new and proposed legislative developments impacting the organisation; 
  • Deal with ad hoc matters as required from time to time.

REQUIREMENTS
  • Minimum Qualifications 
  • NQF 9 level qualification and admitted Attorney 
 
Minimum Experience 
  • 10 years’ legal work experience, of which 5 must be at a senior associate level. 
  • Advising clients in the public or private sectors (as sponsors or lenders) on infrastructure project finance transactions, from structuring, drafting, reviewing, and negotiating project finance documents up to financial close. 
 
Advantageous Experience 
  • Experience advising water sector institutions 
  • Experience in public finance underpinned by the PFMA 
  • Experience in financial markets law 
  • Experience in infrastructure finance 
  • Experience in water law 
  • Experience and in-depth understanding of private sector bank and DFI lending, especially to the public sector and recent experience closing transactions based on the LMA standard.
