The Audit & Risk Committee acts as a critical safeguard, promoting transparency and accountability in financial management and risk mitigation. The Committee has an independent role with accountability both to the Board and the Shareholder. It contributes significantly to the institution’s overall risk management framework and ensures effective governance.
 
Job Description
Applications are hereby invited from suitably qualified candidate to be appointed as Audit and Risk Committee Members of the SAMSA Audit and Risk Committee for a period of three (3) years. SAMSA seeks to appoint experienced professionals with a strong background in governance, risk management, or financial control with a passion for ensuring accountability and promoting good governance in public sector institution. The successful incumbent will be required to attend the meetings of the Committee on quarterly basis or as and when required.
The Audit & Risk Committee (“ARC”) is constituted as a statutory Committee of the South African Maritime Safety Authority (“SAMSA”) in respect of its statutory duties in terms of clause 27 of the Treasury Regulation, read with Section 51(1)(a) of the Public Finance Management Act, 1999 (“PFMA”).
 
The Committee plays a vital role in ensuring that SAMSA discharges its responsibilities effectively, in line with the Public Finance Management Act (PFMA), with duties outlined in the Committee Terms of Reference that includes:
  • Monitor and review the effectiveness of the Internal Audit Function including compliance with the International Standards for the Professional Practice of Internal Auditing, the Code of Ethics;
  • Promote a Combined Assurance Model, which will include inter-alia, coordination and cooperation between the AGSA and the Internal Audit function, to minimise the duplication of effort and promote reliance on each other’s work, where possible
  • Overseeing the effectiveness of SAMSA’s assurance functions, including external audits and internal finance operations.
    Ensuring the integrity of SAMSA’s Annual Financial Statements.
  • Advising SAMSA on matters such as risk management, safeguarding assets, and the adequacy of control systems.
 
Job Requirements
QUALIFICATIONS
  • Postgraduate Degree in Financial Management, Accounting, Governance, or Risk Management and/or other relevant qualification.
  • Advanced certifications such as Chartered Accountant (CA) or Certified Internal Auditor (CIA) as well as other recognized certifications in auditing, governance, or risk management would be an added advantage
  • Professional Body Registration: Applicants must be registered and in good standing with a relevant professional body (e.g., SAICA, IIA, IRMSA, etc.)
 
EXPERIENCE
  • Minimum of three (3) years’ senior management experience in one or more of the following areas: Financial controls, Accounting, Corporate governance, Risk management, Internal auditing, Regulatory compliance.
  • Governance Experience: A minimum of five (5) years’ experience serving on a Governance Committee such as Audit Committee, Risk Committee, Finance Committee and/or a Board Member 
  • Sector Experience: Experience in the ICT sector is a strong advantage or familiarity with both public and private sector processes enhances suitability 
 
CRITICAL SKILLS AND ATTRIBUTES: 
Financial Literacy with understanding of accounting principles. 
  • Analytical and Critical Thinking with the ability to assess complex financial data and detect inconsistencies. 
  • Knowledge of Auditing and Accounting Standards, familiarity with internal controls, audit procedures, and risk assessment techniques and a consistently methodical and investigative approach. 
  • Risk Management Awareness with ability to identify and evaluate financial, operational, and compliance risks.
  • Integrity and Independence, Maintain independence from management and outside influence. High ethical standards and a commitment to transparency and accountability
  • Business Acumen, Solid understanding of the industry, business model, and key operational drivers. Helps in identifying financial risks and understanding management’s decisions.
  • Communication and Interpersonal Skills, Clearly articulate issues and ask tough but fair questions. Collaborate effectively with auditors and management as well as the Board
  • Attention to Detail, Scrutinize financial reports, audit findings, and risk disclosures thoroughly. Spot red flags and inconsistencies that may otherwise go unnoticed.
  • Regulatory and Legal Knowledge, Awareness of applicable laws, regulations, and compliance requirements, Understanding the role of the audit committee in legal oversight.
  • Commitment to Continuous Learning, Stay up to date on changes in accounting standards, governance best practices, and financial reporting regulations.
 
 
TERM OF APPOINTMENT
This is not a full-time appointment. Audit & Risk Committee has four statutory meetings per annum and additional meetings may be convened by the chairperson as deemed necessary by the Committee or Accounting Officer. 
 
REMUNERATION
Compensation will be in accordance with rates as determined by National Treasury. Schedules in this regard are issued annually with specific hourly or daily rates. All other refundable expenses are based on the SAMSA policies in line with the National Treasury guidelines.

The Chairperson of the Steering Committee will be required to provide oversight to ensure alignment between ICT and business strategy, accountability for IT decisions relating to ICT investments, projects, risks, audits and security towards achievement of organisational strategic objectives. The chairperson will also be expected to delivery of ICT function in alignment.
 
Job Description
Applications are hereby invited from suitably qualified candidate to be appointed as a Chairperson of the SAMSA ICT Steering Committee for a period of three (3) years. The ICT Steering Committee is an integral element of ICT governance within SAMSA, and the committee provides strategic oversight to ensure delivery of ICT strategic objectives. The appointed ICT Steering Committee Chairperson will report to the Executive Committee (EXCO) and jointly with EXCO, report to the Finance and ICT Board Committee. The successful incumbent will be required to attend the meetings of the Committee on quarterly basis or as and when required.
 
KEY PERFORMANCE AREAS 
The Chairperson of the Steering Committee will be required to provide oversight to ensure alignment between ICT and business strategy, accountability for IT decisions relating to ICT investments, projects, risks, audits and security towards achievement of organisational strategic objectives. The chairperson will also be expected to delivery of ICT function in alignment with the best practices such as King IV code of Governance and related.
The ICT Steering Chairperson will be required to perform the responsibilities that are within the ambit of the ICT Steering Committee Charter which includes the following amongst others:
  1. Providing strategic leadership towards the development of ICT strategy, ICT Governance and significant ICT investments aimed to support SAMSA’s evolving technology requirements. 
  2. Provide advisory relating to ICT planning and resourcing of the ICT to ensure a responsive ICT function with adequate resources. 
  3. Provide advisory and review relating to the appropriate controls relating to ICT risks, ICT security, data protection and related to ensure a resilient SAMSA ICT environment.
  4.  Monitoring the implementation of approved plans, policies, strategies. 
  5. Ensure effective monitoring of both strategic and operational ICT risks and ensure that appropriate risks mitigations are in place to derive value from the ICT investments including resolving of audit findings. 
  6. Ensure that issues of Business Continuity and Disaster Recovery are in place and tested to meet the continuity requirements of SAMSA. 
  7. Keep the Chief Executive Officer (CEO) abreast through provisioning of quarterly reports on the state of SAMSA ICT and pertinent ICT issues with proposed recommendations relating to strategy, technology, etc. 
  8. The ICT Steering Committee shall meet quarterly as per the committee Charter.
 
Job Requirements
QUALIFICATIONS
  • ICT NQF level 8 qualification, a minimum of a postgraduate degree in Information Technology or Computer Science. 
 
RELEVANT EXPERIENCE
  • At least 10 years working experience in ICT corporate/public sector organization as well as leading practices in ICT Governance
  • 5 years’ experience at Senior Management level gained within any of the following areas:
  • IT industry legislation, IT policy frameworks and best practices, IT governance principles and processes, Cyber security, Enterprise and IT architecture, Development of IT frameworks, policies and processes, IT risk management, ITIL processes, and Implementation of IT            strategies and plans.
  • Industry related certifications such as CISA, Chartered CIO, Pr.CIO, CGEIT, COBIT, CISM, will be an added advantage. 
  • Preference will be given to candidates who are certified in the Governance of Enterprise IT (CGEIT) 
 
CRITICAL SKILLS AND ATTRIBUTES
  • Visionary leadership with a focus on innovation and continuous improvement, capacity to self-organize, self-management, communication and interpersonal skills, problem-solving, dedication to research and keeping up to date with industry developments and a consistently methodical and investigative approach, Excellent communication, presentation skills. Proven business management skills including inter alia financial management, risk management, corporate governance, compliance, and team leadership.
