We are currently seeking applications from dynamic individuals for the following position:
SENIOR LEGAL ADVISOR – UNLISTED LEGAL
Salary: All-inclusive remuneration package negotiable

Purpose of the role:
To provide legal advice on general corporate and commercial law matters and transactions, and legal advisory services in investments within the PIC.
Requirements:
- LLB degree
- Admitted attorney of the High Court with 6 - 8 years post-admission experience specifically in corporate/ commercial law and investment management.
- Overall experience in the financial services sector will also be considered for the role.
Duties:
- Conduct legal research, provide opinions and advice in respect of corporate/commercial law matters and legal advisory in investments;
- Conduct legal due diligence investigations;
- Draft, review, and negotiate corporate, commercial and banking and finance-related agreements.
- Negotiate transactions of a corporate, commercial and banking and finance nature pertaining to private/unlisted entities.
- Structure and manage Unlisted transactions (i.e., debt funding, project finance, energy: oil and gas and renewable energy, mergers and acquisitions, private equity investments and/or structured finance transactions and venture capital)..
- Corporate, commercial and banking and finance legal transaction experience (Equity, Debt and Mezzanine structure) across jurisdictions in Sub-Saharan Africa is a key performance area in this role.
- Manage and assist with any litigation and/or arbitration emanating from transactions, identify new and amendments to investment legislation that impact PIC and advise and assist with implementation thereof.
- Manage the appointment process of procuring external counsel on the PIC panel and provide the requisite instructions to appointed external counsel.
- Assist with post management of transactions across various departments, such as Post Management and Valuation (PMV) and disbursement processes.
- Assist and advise the Turn Around Value Add (TOVA department with restructuring, business rescue, liquidations and workout).
- Identify new amendments to investment legislation that impact PIC and advise and assist with implementation, including advice on FAIS and related legislation.
- Provide training to staff on legislation and legal matters pertaining to the PIC.
- Manage projects of the PIC in relation to Unlisted Investments.
- Assist with the projects of the PIC.
- Manage legal instructions and attorneys on the panel;
- Ad hoc competition law advisory.
- Contract management of concluded transactions (i.e. SharePoint and efront);
- Supervision of juniors.

ASSOCIATE FUND PRINCIPAL

Purpose of the role:
As part of the Multi-Management: Private Markets team; the incumbent will assist the Head of Multi-Management: Private Markets in providing leadership and strategic vision for the fund investment business.
Requirements:
- Relevant postgraduate qualification or relevant NQF 8 equivalent qualification
- Masters degree, MBA, etc, CFA or CA(SA) would be advantageous
- 8 - 10 years’ experience in the investment industry. Fund of Funds or Multi-Management: Private Markets experience would be advantageous
- Previous transaction experience
- Private equity industry knowledge
- FAIS RE 05 Certificate or must be obtained within 6 months of employment
Duties:
- Deal sourcing - proactively identify investment partners and opportunities
- Deal screening - desktop analysis of investment opportunities
- Preparation of preliminary scoping reports
- Lead the transaction team through the whole investment process
- Conduct and coordinate due diligence on potential investment opportunities
- Participate in the structuring and pricing of transactions
- Participate in the negotiation of term sheets
- Preparation of appraisal reports
- Review and comment on transaction agreements
- Participate in the implementation and disbursement process
- Lead the handover of approved transactions to various divisions, including portfolio management
- Ongoing monitoring of a portfolio of funds, including review of quarterly reports, valuation, risk management, compliance, and reporting
- Participate in the exit process for transactions
