The following vacancy exists at NSFAS in Cape Town.
Position: NSFAS Board Secretariat
Type & Grade: Permanent (Grade 13)
Vacancy No: 46 of 2020/21
Department & Unit: Governance, Risk & Compliance
POSITION OVERVIEW:
The primary purpose of the position is to provide the full range of secretariat, governance, and compliance guidance and support to the effective functioning of the Board, Executive Committee, and various Committees in accordance with legislative requirements and corporate governance best practice. The successful incumbent will be responsible for monitoring compliance by adhering to applicable laws and regulations and Board decisions and resolutions, co-ordinating procedural requirements associated with the provision of a Board Secretariat service through the planning of the schedules of meetings and allocations, implementing and monitoring systems, and verifying outputs according to quality standards, monitoring the delivery of quality reports and accurately recorded minutes of proceedings and communicating across a broad spectrum with a view to disseminating information and/or guidance on policy and procedural compliance issues with respect to discussions and decision-making.
Work experience within a banking environment or fund management environment to be an added advantage
RESPONSIBILITIES:
Secretariat
• To be a custodian of governance principles that advance the best interest of NSFAS.
• To provide guidance and leadership to the CEO and the Board members on matters that enables business strategy implementation.
• To facilitate harmonious interactions between the CEO, board members and committees.
• To coordinate orientations and trainings of board members.
• To partner with the chairperson of the board in the piloting of board resolutions.
• To coach and keep abreast of all the changes in the legislative and regulatory environment that impacts the execution of the board members responsibilities.
• To undertake the obligations for preparing, assessing, processing and the administration of new and existing agreements and related functions within agreed upon communication channels.
• To conduct research, legal and commercial drafting, updating of the regulatory, risk and compliance matters that are of a strategic interest to the mandate of NSFAS.
• To coordinate and manage the activities relating to stakeholder management and relationships on behalf of the board members.
• To provide full secretariat function (i.e. handling of queries, drafting minutes of the meeting, decisions of the board and records management) and steer the implementation of actionable items.
• To provide logistical support to the board members, committees and the subcommittees in the capacity of attendance register management, notices of meetings, requests for contributions to enrich the agenda items and the distribution of supporting documents.
• To facilitate the payment of meeting fees and subsistence and travel allowances for board members and committees.
Performance Management
• To assist the Chairperson to conduct the annual performance assessment of the Board and Board members.
• Agree and sign individual performance scorecards and development plans.
• Remain abreast with technical professional development matters.
• Remain abreast with organizational changes.
Stakeholder Management
• Work collaboratively with stakeholders in order to achieve win-win outcomes.
DESIRED SKILLS AND EXPERIENCE
Minimum requirements:
• An Admitted Attorney with academic qualification of typically a Law Degree such as LLB or BCom Law
• A Chartered Company Secretariat qualification
• Registration with the Institute of Company Secretaries of Southern Africa (ICSA)
• 5 years’ experience working for the state or state entity with a clear focus on governance experience on interacting with the shareholder on compliance issues affecting state entities demonstrated knowledge of compliance issues affecting state entities
• Experience in committee management, minute taking and other secretariat duties
• Experience in the field of corporate governance with a strong understanding of secretariat processes & governance in both the public and private sectors
• Overall knowledge of primary legislation applicable. Companies Act, King IV & associated statutes & regulatory framework

REMUNERATION & BENEFITS
Remuneration Package: R 1 033 205 to R 1 217 082 per annum
Total Cost to Company per annum inclusive of all benefits and company contributions.
