Introduction
The National Empowerment Fund is looking for a Senior Legal Advisor - Commercial to join our Legal Services team.
 
Job description
To provide general legal support to NEF as part of the deal structuring team. Furthermore, fulfil all statutory, reporting and legal advisory services in accordance with business requirements as well as to provide legal solutions that minimize risk for all complex transactions like acquisitions and green-fields projects.
 
Deal management
  • Analyse the commercial aspects of the transaction.
  • Draft, vet and negotiate a range of commercial agreements e.g. term sheets, loan agreements, sale of shares, sale of business, security documents, etc. in line with NEF’s funding terms and conditions.
  • Ensure agreements are legally accurate and in accordance with the term sheet and as approved by the Investment Committee.
  • Ensure agreements are compliant with latest legal developments.
  • Provide prompt and sound legal advice and support to NEF in particular the Fund Management Division.
  • Consult regularly with team on proposed structures, developments and legal implications thereof.
 
Due Diligence
  • Attend due diligence assessments relating to NEF’s investments.
  • Conduct due diligence on transactions to support investment teams.
  • Negotiate for deals Committee(s).
  • Provide legal input to submission papers prepared for Investment Committee(s).
  • Participate in Committees as requested.
  • Conduct presentations as part of the deal team.
 
Quality Assurance
  • Build understanding of legal issues, risks and obligations through advice, communications and training for clients.
  • Give input to ensure appropriate legal policies and practices are in place to manage the legal obligations and legal risks of the department effectively.
  • Manage costs/budget for work carried out externally and legal costs of litigation.
  • Identify legal risks and recommend mitigation methods for the risks relating to NEF’s investments.
 
People management
  • Monitor progress on work done by legal advisors.
  • Checking and supervising other legal advisors’ agreement(s).
  • Providing skills transfer and mentoring other legal advisors.
 
Ad Hoc
  • Ensure legal seminars and or workshops are held.
  • Conduct ad-hoc activities as allocated by General Counsel and/or Legal Services Manager and Principal.
 
Minimum requirements
Qualifications
  • LLB degree
  • Post graduate financial qualification an added advantage
  • Admitted Attorney
 
Experience / Skills Required
  • Minimum 5 years’ post articles experience in similar environment i.e. Private equity, Corporate finance, Management Consulting etc.
  • General litigation experience.
  • Experience in securities law; and/or
  • Experience in insolvency law; and/or
  • Solid experience in commercial law; and/or
  • Proven working knowledge of Company law, Tax law and NCR
  • Experience in legal due diligence.
  • Working knowledge of finance.
  • Experience in mergers and acquisitions is advantageous.
  • In depth knowledge of laws and legal processes in respect of NEF core business (primarily relating to Corporate Finance, Structured Finance and Investment Banking).
  • Excellent oral and written communication skills.

Job description
Fund/Capital Raising
  • Design and execute strategies for raising funds from various sources including banks, Donor Funders, private equity firms, venture capitalists, government grants and other sources.
  • Identify and tap potential funding sources, maintaining a robust pipeline of funding opportunities.
  • Develop and present compelling funding proposals tailored to the interests and requirements of potential funders.
  • Craft and manage detailed financial models to evaluate various funding scenarios and support negotiation processes.
  • Identify and respond to Request for Proposals (RFP’s) on Enterprise Suppliers Development (ESD) and Third-Party Funders.
  • Draft each partner’s performance update reports and close out reports.
  • Stakeholder management.
  • Conclude funding partnerships by effectively addressing queries from funders and negotiating terms and conditions that are in line with the organization’s mandate, objectives and capacity.
  • Work closely with the legal department in drafting and monitoring the partnership agreements and performance.
  • Provide progress and performance updates to All committees including Board and sub-Board committee(s).
Financial Planning and Analysis
  • Continuously identify and cultivate relationships with potential funders, maintaining a robust pipeline of funding opportunities.
  • Stay abreast of market trends both locally and internationally, funding sources, and emerging financial opportunities to optimize fundraising approaches.
 
Presentation and Deal Closure
  • Create and deliver compelling presentations to potential funders, effectively articulating the organization’s financial needs and growth plans.
  • Lead negotiations to finalise funding agreements, ensuring terms and conditions are mutually beneficial and aligned with the organisation’s mandate and objectives.
 
Relationship Management
  • Cultivate and maintain strong relationships with capital providers to ensure an ongoing and positive engagement.
  • Regularly communicate with funders, providing updates on the organisation’s performance and the utilization of funds in a transparent and reliable manner.
  • To develop and implement co-funding partnerships that will unlock opportunities to provide finance to business ventures established and managed by black people, invest in black empowered businesses that have high employment creating opportunities, support the participation of black women and youth in the economy, maximise support for township and rural economies, facilitate investment across all provinces in South Africa and advance black economic empowerment through commercially sustainable enterprises.
  • Supporting NEF’s long- term financial sustainability by spreading risks through partnerships and increase NEF’s ability to offer custom-made financing solutions to meet our clients’ investment needs.

  • Support funds in sourcing suitable transactions and monitor deal pipeline with the funds.
  • Develop management tool to monitor partnerships/relationships with stakeholders.

Financial/ Shareholder Returns
  • Optimise the balance of financial and development returns on programme management.
  • Together with team-members, increase pool of external funds to leverage NEF balance sheet and resources.
  • Optimise NEF pricing through blended finance from third parties.
  • Efficacy in approval and disbursement of funds.
  • Design and negotiate agreements in respect of new funds (on or off-balance sheet) and third-party funds.
  • Effective fund structuring and portfolio management to ensure financial and development objectives of funds under management are achieved.
 
Internal / Operational Processes
  • Identification of concessionary funding that will reduce the NEF risk-based pricing.
  • Implement effective governance structures and systems and procedures for operational excellence.
  • Collaboration with government departments on identification and implementation of programmes /incentives and financing schemes.
  • Negotiate fund criteria and management of ring fenced and 3rd party funds for the NEF.
  • Participate in presenting proposals and mandate letters to clients emphasizing the benefits of co-financing.
  • Lead and support strategies aimed at identification and facilitation of funds.
  • Regular reporting internal and external stakeholders on the portfolio of the third - party funds and associated stakeholder engagement / management.
 
Customer Focus/ Stakeholder Management
  • Build influential relationships, networks and collaborate with internal and external key stakeholders and clients to position the NEF as the partner of choice for third party funds and ensure that the NEF’s product offerings and expertise are optimally utilised.
  • Retain and manage relationships with a wide network of professional advisors, consultants, etc.
  • Manage and enhance the levels of service and communication to ensure the provision of client service excellence.
  • Build relations and networks across the country with various levels of stakeholders in order to create, promote and maintain a good and professional image of the NEF. This will include working with the Department of Trade, Industry and Competition (the dtic) and other key stakeholder(s) where required.
 
Corporate Strategy
  • Assist in the audit preparations of the NEF’s annual B-BBEE rating, including providing an internal score.
  • Advice internal B-BBEE elements custodians on compliance queries.
  • Assist with B-BBEE related policy formulation and implementation process.
 
Minimum requirements
Qualifications
  • Minimum of Bachelor’s Degree in Finance or Economics, or related field.
  • Post graduate degrees such as Masters in the same field, CA (SA), certifications such as CFA would be advantageous.
 
Experience / Skills Required
  • Driven track record of successful fundraising and deal closures, with at least 5 years of experience in corporate finance, investment banking, or similar field.
  • Proficiency in financial modelling, valuation techniques, and risk analysis.
  • Exceptional written and verbal communication skills, with a demonstrated ability to craft persuasive funding proposals and deliver impactful presentations.
  • Strong negotiation skills and a keen understanding of legal and contractual aspects related to fundraising and deal structuring.
  • Ability to build and maintain strong relationships with diverse stakeholders, including capital providers and internal teams.
  • 5-10 years’ experience in raising funds or/and managing funding partnership(s).
  • Experience in management of teams.
  • Experience in developing/reviewing and using corporate/project/structured finance financial models.
  • Grounded experience on development issues.
  • Strong customer focus and ability to engage effectively with senior officials of banks, corporates and governments.
  • Experience working in a high-level collaborative and culturally diverse environment.
