MUNICIPAL DEMARCATION BOARD (MDB)
 


BOARD COMMITTEE OFFICER
A Total cost to company remuneration package of R515 685,81 p.a (basic salary of R376 413 p.a salary level 8) 
(NON-NEGOTIABLE)
 
Minimum Requirements 
☐ Matric (NQF level 4 equivalent) 
☐ Diploma or bachelor’s degree in (Administration) law or related field (NQF level 7) 
☐ Chartered Governance Institute of Southern Africa (CGISA) will be an added advantage 
☐ Minimum of three (3) years’ experience in a similar position in a corporate or public sector environment 
☐ Excellent verbal communication and report writing skills. 
☐ Governance Certificate (added advantage). 
 
Key Responsibilities 
The incumbent is responsible for providing professional administrative, secretariat and office management duties to the Board Secretariat Unit, in support of achieving the MDB strategic objectives. 
The incumbent is also required to maintain the administrative tasks as required of the position, but not limited to: 
  • Provide a professional secretarial and administrative support to the Board Committees in line with the legislative requirements (i.e., Agendas & Minutes) 
  • Prepare, publish, and post agendas, meeting notices and other related materials and assemble meetings packs in consultation with the Assistant Board Secretary/Board Secretary. 
  • Provide information on the activities of Committees to produce the Committees’ quarterly and annual reports. 
  • Ensure that issues raised at Committees’ meetings for referral to other structures within and outside MDB are referred to such structures. 
  • Keep the Committees’ declarations of interest register updated in line with best practice Corporate Governance practices. 
  • Administer, coordinate, and attend to the activities related to various Board Committees meetings as delegated by the Board Secretary. 
  • Provide guidance to Committee Members in relation to good governance best practices matters. 
  • Compile the Annual Committees’ plans to ensure that the structuring of meetings will facilitate decision-making processes. 
  • Provide inputs on Committees’ Charters developed by the Board Secretary. 
  • Responsible for compiling Committee members’ remuneration, all their claims and travel costs for attendance of meetings. 
  • To maintain Board and Committees records including papers, minutes, indices of reports considered and approved by the Board. 
  • Prepare, Compile and distribute all Board Committees reports from units of the organization. 
  • Ensure that minutes are signed by the Committee Chairperson once they have been approved. 
  • Alert the Board Secretary when Committee Members have not confirmed for meetings within a given time frame. 
  • Develop and keep updated the Committees resolutions register 
  • Advise Committee Members in line with their terms of references, make inputs on Committees Charters, MDB Policies and procedures. 
  • Maintain healthy working relations with Board members, Executive Managers, and managers.
  • Ensure that all Committee Members are informed of arrangements and logistics within agreed time frames. 
  • Always maintain professional communication and interaction with all stakeholders and members of the public. 
  • Acting in the role of Assistant Board Secretary in their absence. 
  • Perform adhoc duties as and when required.
