JRA is currently in the process of filling the following vacancy:
HEAD OF DEPARTMENT: GOVERNANCE AND LEGAL SERVICES
Five year performance based fixed-term contract (Ref. 26/2019/138)
Remuneration: R2 055 055.00 - R2 601 270.00 per annum TCTC (all-inclusive package)
Responsible for governance, legal services, compliance, record and knowledge management.
Responsibilities: Interact with key stakeholders including amongst others: Shareholders, Board Committee as prescribed by the King IV Report on Corporate Governance. Provide guidance to the Board on their duties, responsibilities and powers. Making the Company and the Board aware of any changes in legislation relevant to the Company. Report to the Board any failure to comply with the Memorandum of Incorporation or rules of the company or the Companies Act. Certifying in the Company's annual financial statements that the company has filed required returns and notices as required by the Companies Act and that they are sent to the relevant stakeholders. Contribute to the development and drafting of the business plan, quarterly, annual reports and annual financial reports. Draft reports to the Board and Company Committee. Maintain the Company's record repository in terms of the National Archives Act 43 of 1996 and other policies of Johannesburg Roads Agency. Manage the flow of information and decisions between the Board and Executive Committee.
Develop and implement policies and procedures to determine the parameters within the Company operates including the access to information guidelines. Ensures that the Company adheres to ethics values by submitting quarterly ethics report. Compile and manage budget for the Department. Oversee all human resources functions of the Department. Manage legal services functions of the Company.
Requirements: Bachelor's degree in Law/Business Administration/ Commerce. Twelve (12) years' experience in legal services or Company Secretariat environment of which seven (7) should be at a senior management level and five (5) years' experience as a legal advisor. Experience in preparation of budget. Be eligible for appointment as a company secretary in accordance with section 86 of the Companies Act. Be eligible for appointment as a public officer in accordance with section 246 of the Tax Administration Act, 28 of 2011. Must meet all National Treasury competency requirements for Senior Managers, e.g. Certificate in Management Development for Municipal Finance (CPMD) / Municipal Finance Management Programme (MFMP)/ Executive Leadership Municipal Development Programme (ELMDP) or be eligible to obtain the National Treasury competency requirements within 18 months upon appointment into the position. Valid driver's license.
