Reporting to the Group Chief Executive, the incumbent provides the overall responsibility for the Company Secretarial role, including the compliance with the provisions of the Companies Act and related legislation; as well as advising the Group Board, Subsidiaries and Executive Management in all relevant areas of compliance such as good corporate governance and ethics. 
 
The successful candidate’s responsibilities will be to: 
  • Ensure that procedures for the appointment of directors are adhered to. 
  • Manage the orientation of new Board members. 
  • Advise and guide Board members on their fiduciary duties and responsibilities. 
  • Assist in the agreeing upon and implementation of evaluating Board effectiveness on an annual basis. 
  • Identify and facilitate required training needs based on Board performance evaluations. 
  • Ensure unhindered access to information by all Board and Committee members in order to allow for the effective contribution to Board and Committee discussions and decisions by all members. 
  • Contribute to the compilation of the annual report. 
  • Ensure that there is insurance cover for all Directors and Officers liability. 
  • Identify and evaluate new corporate governance developments in order to assess the impact of such and advise Directors and Management of their implications. 
  • Ensure that all Directors are aware of legislative and regulatory requirements relevant to the Board and Committees on which they service. 
  • Provide support to Executives on a daily basis on issues of governance. 
  • Maintain delegated powers of authority. 
  • Maintain statutory registers and records of all companies. 
  • Lodge all appropriate forms and annual returns with the Commission for Intellectual Property & Companies (CIPC) for the payment of statutory fees. 
  • Ensure that the Group Annual Calendar is efficiently planned in order to avoid clashes, and facilitate decision-making in terms of PFMA reporting frameworks, for all Directors and Executives within the group. 
  • Design and implement programmes and interventions to ensure the continuous improvement of Secretariat Business processes and systems in line with industry best practice. 
  • Prepare for Annual General meetings and management of Shareholders and Stakeholder interface leading to the AGM. 
  • Ensure that Directors fees are paid according to the approved remuneration framework. 
  • Lead the development of the Business Units budgets in accordance with IDFC’s budget policy and regulations. 
  • Direct and control the key performance indicators and outcome of personnel and processes within the Business Unit. 
 
The following minimum requirements should be met in order to be considered: 
  • Matric
  • B Degree in Law/ Finance, CIS, or related qualification. 
  • Post graduate qualification would be advantageous. 
 
EXPERIENCE
  • 7 years relevant experience, 3 of which should be at a Company Secretariat level.
 
Requisite Functional Competencies 
  • Computer Literacy 
  • Knowledge and experience in financial planning and forecasting 
  • Knowledge and understanding of Public Financial Management Act 
  • Knowledge of corporate governance principals 
  • Knowledge of risk management concepts, frameworks and methodology 
  • Working knowledge of legislative requirements relation to Company Administration

Reporting to the Manager: Performance Monitoring & Reporting, the Senior Accountant will manage and control accounting systems for monthly management reports and control staff output in this regard. 
 
The Senior Accountant will: 
  • Prepare consolidated annual financial statements in line with IFRS and compliance of PFMA and other applicable legislation. 
  • Manage fixed asset register, ensuring correct financial control over fixed assets. 
  • Prepare various monthly and quarterly financial reports as per the set deadlines. 
  • Maintain, plan and control data input. 
  • Run Ledgers and Trial Balance reports. 
  • Review allocated general ledger accounts and bank accounts to ensure completeness, accuracy, and validity of recorded transactions. 
  • Review and approve reconciliations for allocated General Ledger accounts and bank accounts prepared by subordinates. 
  • Control and administer electronic payments system (BI Online). 
  • Assist with preparation of annual budget and estimates. 
  • Liaise with external auditors as and when necessary. 
  • Manage sundry debtors. 
  • Manage human capital through effective performance management and employee development and empowerment related to direct subordinates. 
 
The following minimum requirements should be met to be considered: 
Qualifications:
  • BCom Accounting (Honours). 
  • Chartered Accountant (CA) (SA). 
  • SAICA membership. 
 
Experience:
  • Minimum of 3 years accounting experience in compilation of consolidated annual financial statements. 
 
Requisite Functional Competencies: 
  • Up to date knowledge of the International Financial Reporting Standards (IFRS) 
  • Good understanding of fundamental accounting principles. 
  • Knowledge of Financial Policies and Procedures. 
  • Knowledge of Accounting and General Ledger systems. 
  • Knowledge of Computerised Financial Systems. 
  • Understanding of JDE. 
  • Understanding of CaseWare. 
  • Knowledge in working with spreadsheets. 
  • Budgeting knowledge. 
  • Good understanding of PFMA 
  • Knowledge and experience in MS Office packages.
