COMPANY SECRETARY ROLE DESCRIPTION
(EXECUTIVE POSITION)

OBJECTIVE: The Company Secretary is responsible for the efficient administration of a company, particularly with regard to ensuring compliance with statutory and regulatory requirements and for ensuring that decisions of the board of directors are implemented.

MINIMUM QUALIFICATIONS:
LLB Degree or relevant Legal (Degree) qualification
Membership to the Law Society (admitted attorney- will be an added advantage) Institute of Chartered Secretaries and Administrators (ICSA) membership or relevant body.
CANDIDATE’S EXPERIENCE:
Minimum 8 – 10 years work experience.
Minimum 5 years experience in a Company Secretarial role (Governance, Risk, Compliance)
(Experience in corporate law, governance, strategy and corporate secretarial practice)

PACKAGE: The salary range to be offered for this position is market related.
ASSESSMENT: Applicants will be required to undergo a competency assessment.
KEY PERFORMANCE AREAS
Corporate Governance:
Report to the Board of Directors in the following manner:
- Ensure that procedures for the appointment of directors are adhered to.
- Manage the orientation of new Board members.
- Advise and guide Board members on their fiduciary duties and responsibilities.
- Assist in the implementation of evaluation of Board members effectiveness on an annual basis.
- Identify and facilitate required training needs based on Board performance evaluations.
- Ensure unhindered access to information by all Board and Committee members in order to allow for the effective contribution to Board and Committee discussions and decisions by all members.
- Contribute to the compilation of the Annual Report.
- Identify and evaluate new corporate governance developments in order to assess the impact of such and advise Directors and Management of their implications.
- Ensure that all Directors are aware of legislative and regulatory requirements relevant to the Board and Committees on which hey service.
- Ensure that all matters are raised that warrant the attention of the Board.
- Provide support to Executives on a daily basis on issues of governance.
- Report any failure on the part of the company or a director to comply with the Memorandum of Incorporation or rules of the company or the Act
- Maintain Delegated Powers of Authority.
- Collate all mid-term and final review information regarding CEO’s performance contract
Company Administrative Services
- Maintain Statutory Registers and records of the entity
- Lodge all appropriate forms and annual returns with the Commission for Intellectual Property & Companies (CIPC) for the payment of statutory fees.
- Ensure Board and Board Committee minutes capture the philosophy and essence of matters discussed in order to interpret core-related issues.
- Develop the Board Annual Work Plans
- Maintain a Register of Directors’ Interests in Companies and Contracts in order to table at each meeting in terms of the Companies Act.
- Provide advice on meeting procedures.
- Ensure that the Group Annual Calendar is efficiently planned in order to avoid clashes, and facilitate decision-making in terms of PFMA reporting frameworks, for all Directors and Executives within the Group.
- Prepare and issue notices of meetings timeously
- Ensure that the information in Board packs is adequate and that they are distributed.
- Coordinate the submission of reports to the Board, Board Committees and EXCO
- Ensure that all trademarks are renewed.
- Ensure all Secretariat systems are maintained to meet the requirements of FASSET.
- Design and implement programmes and interventions to ensure the continuous improvement of Secretariat Business processes and systems in line with industry best practice.
Stakeholder Management
- Ensure that copies of FASSET Annual Financial Statements are sent to all persons who are entitled to such according to the Companies Act and PFMA.
- Prepare for Annual General Meetings and management of Shareholder and Stakeholder interface leading to the AGM.
- Develop good working relationships with all key stakeholders of FASSET.
- Ensure that Directors fees are paid according to the approved remuneration framework.
- Review the remuneration developments within the public and private sector.
Financial Resource Management
- Develop and implement the unit’s budget.
- Ensure procurement of goods and services within the unit in accordance with policy.
- Manage and control expenditure against budget, including causes of deviations.
- Monitor and ensure compliance to relevant regulatory requirements.
- Provide financial management reports relevant to this function to the CFO.
People and Stakeholder Management
- Provide support in the coordination and integration of business delivery activities within the Unit.
- Ensure regular staff development in order to improve efficiency.
- Ensure that performance agreements and development plans are developed and implemented for all staff within the unit
- Maintain effective stakeholder relationships and address stakeholder queries
- Direct stakeholder engagements to relevant persons and units
