Job Description
The Senior Legal Advisor role is a legal advisory function located within the Independent Power Producers Office (IPPO). The IPPO was established in 2010 to provide rapid solutions to South Africa’s severe electricity supply constraints, by procuring new energy generation capacity from Independent Power Producers (IPPs). The IPPO was created as a project office hosted by the Development Bank of Southern Africa (DBSA).
The IPP Office’s specific mandate is derived from the Memorandum of Agreement between the Department of Electricity and Energy, National Treasury and the Development Bank of Southern Africa which assigns to the IPP Office the implementation of the Independent Power Producers Procurement Programme (IPPPP) pursuant to Ministerial Determinations on behalf of the DEE and covers preparatory and sustaining contract management and monitoring actions to make effective and efficient procurement possible. This is a Fixed Term Contract position until March 2031 aligned with the mandate of the MoA. The purpose of this role is to ensure an optimal procurement process by drafting and advising on relevant commercial arrangements, agreements and evaluation criteria.

1. Contribute to and interpret the strategy of the legal department of the IPP Office
• Understand the strategy of the IPP Office and contribute to the overall strategy of the legal department.
• Interpret the legal strategy.
• Devise tactical plans to implement the legal strategy.
• Ensure that the legal strategy is executed as planned.

2. Ensure relevant legal documents related to the procurement process are drafted, reviewed and finalised timeously
• Direct a team of legal transaction advisors in respect of the IPP Procurement Programmes and lead engagements between the legal transactions advisors and other multi-disciplinary teams
• Assume responsibility for the procurement process including the procurement documents from inception until signature of the relevant agreements and fulfilment of all conditions to financial close. .
• Ensure that the following documents are prepared in accordance with best industry practice and applicable laws and regulations: o Request for Proposals (RFP) o Power Purchase Agreement (PPA) o Implementation Agreement (IA) o Relevant connection agreements o Relevant direct agreements o Any other relevant commercial agreements o Such other regulatory and legal considerations
• Ensure that the relevant documents are completed whilst considering the risk analysis, project structures and technology choice.
3. Effectively handle all issues and queries
• Attend to all incoming bidder queries and issues prior to bid submission.
• Ensure that all matters are handled efficiently within the stipulated time frames.
• Support and assist the IPP office team during bid receiving.
• Attend the weekly queries meeting to advise on and assist with outstanding matters.
• Attend to all incoming bidder queries and issues post closure process.
• Attend to all incoming bidder queries and issues during implementation.
4. Support and enable the IPP during the bid evaluation and finalisation process.
• Advise on the bid evaluation system and criteria.
• Ensure that a suitable bid process is designed to enable bid comparison.
• Provide all necessary support to the IPP Office for the efficient and professional management of the evaluation process.
• Enable the IPP Office to advise the Department of Mineral Resources and Energy on outcomes and recommendations.
• Assist the IPP office to finalise all agreements following the appointment of preferred bidders
• Manage and conclude all change requests and other preferred bidder queries from appointment of preferred bidders until financial close.
• Advise and guide the IPP office in respect of all legal and regulatory compliance requirements in relation to closure process
5. Provide support in terms of contract management / implementation. • Attend to and resolve all change requests.
• Ensure that all non-compliance matters are effectively handled. • Interact with Eskom and other key stake holders to resolve contract management related matters.
• Analyse and interpret contractual rights and obligations of various parties in respect of project agreements
• Advise the IPP Office and Department of Mineral Resources and Energy on matters related to contractual matters.

- Research and give input into the formulation of Supply Chain Management Policies needed to achieve the Corporate Objectives of The IPPO for submission.
- Develop and manage all strategies, plans and outputs necessary to implement the policies and objectives of the Supply Chain Management Section of The IPPO.
- Develop, align and implement procurement standards, templates and process across the business
- Accurate analysis on procurement transactions (spend information) for trends. Assessment on off contract spend, spend without quotations, non-compliance to policy (deviations), single source, processing errors etc. - for the purpose to inform planning, risk management, gap closure and reporting
- Development and implementation of effective processes to ensure that the risk exposure of The IPPO is within the policy-defined risk appetites for each of the SCM activities.
- Stakeholder Management
- Design, implement and control processes to deliver the required stakeholder interactions and value propositions to the stakeholders of SCM.
- Facilitate and report on effective feedback systems with stakeholders.
- Ensure appropriate processes and bid systems are applied to solicit responses in the form of quotations from suppliers/ vendors or service providers.
- Ensure adherence to SCM SOPs related to bid documentation, site meetings, briefings, tender opening, registering, recording and evaluation of bids.
- Develop, implement and maintain quality control programmes and provide appropriate feedback to both management and clients.
- Plan tender reviews and submittal deadlines according to business unit / owner requirements.
- Facilitate the establishment of the necessary governance structure/s to lead and adjudicate on the tender (CFT– Cross Functional Team)
- Support the Financial Division and SCM Unit on delivering on the key business imperatives pertaining to cost containment; innovation and productivity and business relevance
- Work with the appropriate Business Unit Managers to understand their operational plans, sourcing requirements, budgets, service standards and targets (cost, transformation, etc.)
- Development and maintenance of the demand pipeline and sourcing plan for business
- Support business units with drafting specifications / requirements for Tenders
- Negotiate prices, terms and conditions with suppliers. Deliver savings targets to the IPPO
- Quarterly meetings/interventions with staff to improve knowledge and understanding of policies and guidelines and close gaps. Support the Bank and the SCM team in delivering innovative solutions to improve productivity, service levels and contribute to cost containment.
- Report process performance, deviations and Procurement lead times against SLA (weekly)
- Monthly report on RFQ’s, Closed tenders and RPF’s
- Trend analysis on procurement transactions (spend information) – report on non-contract spend, spend off contract. To include recommendations to inform sourcing pipeline.
Expertise & Technical Competencies
The incumbent should have the following qualifications and experience:
- Relevant Supply Chain Management qualification with strong procurement / sourcing expertise
- Strong understanding of and a strong commitment to good corporate governance, SCM regulations and laws and other regulatory requirements including the PFMA.
- At least 10 years’ experience in SCM
- At least 5 years’ experience as SCM Manager
- Specific training and experience in Public sector procurement
- Accredited training for SCM senior managers an advantage

The Senior Engineer role is an electrical engineering technical function located within the Independent Power Producer Office (IPPO).

The mandate of the IPP Office is to provide specialised services to government, including
a) IPP Energy Procurement Management,
b) Monitoring, Evaluation and Contract Management, and
c) Professional Advisory Services.
The IPPO's skills, expertise and success in mobilising and delivering on time is recognised domestically and globally.
The Senior Engineer will effectively implement and augment the connection and grid integration of IPP generation projects by assisting Eskom, municipalities and all relevant spheres of government in utility and generation planning and designs, providing grid connection and code analysis services and related technical advise and support.
These will involve different power producing projects that will include Renewable Energy, Battery Energy Storage, Gas to Power and Hybrid energy facilities. The role will report to the Head of Technical and will collaborate effectively with all other departments within the IPPO to deliver timeously on the IPPO's mandates and strategy.

Job Description
The Senior Engineer role is an electrical engineering technical function located within the Independent Power Producer Office (IPPO).
The IPPO was established in 2010 to provide rapid solutions to South Africa's severe electricity supply constraints, by procuring new energy generation capacity from Independent Power Producers (IPPs). The IPPO was created as a project office hosted by the Development Bank of Southern Africa (DBSA) under a Memorandum of Agreement (MoA) between the Department of Electricity and Energy (DMRE), National Treasury and the DBSA. The mandate of the IPP Office is to provide specialised services to government, including
a) IPP Energy Procurement Management,
b) Monitoring, Evaluation and Contract Management, and
c) Professional Advisory Services.
The IPPO's skills, expertise and success in mobilising and delivering on time is recognised domestically and globally.
The Senior Engineer will effectively implement and augment the connection and grid integration of IPP generation projects by assisting Eskom, municipalities and all relevant spheres of government in utility and generation planning and designs, providing grid connection and code analysis services and related technical advise and support.
These will involve different power producing projects that will include Renewable Energy, Battery Energy Storage, Gas to Power and Hybrid energy facilities. The role will report to the Head of Technical and will collaborate effectively with all other departments within the IPPO to deliver timeously on the IPPO's mandates and strategy.
Key Responsibilities
These include but are not limited to:
1. Implement action plans to enhance generation and utility planning.
- Assist Eskom and municipalities in incorporating generation grid connection in utility planning.
- Implement remedial action to ensure that grid connection dependencies of the IPP programmes are addressed and mitigated in generation and grid planning.
- Perform IPP grid connection analysis to assess capacity constraints.
- Work with Eskom and the municipalities on the analysis of grid capacity for IPP connection.
- Provide a service for the independent assessment of grid constraints and IPP grid connection studies.
- Utilise and maintain software tools and systems as required for grid connection studies.
- Review and influence Eskom and municipal grid connection charges to ensure reasonable cost recovery and equitable treatment of grid costs for IPP programmes.
- Implement action plans identified to mitigate resource constraints that impacts on the ability to grid connect IPPs.
- Work with Eskom and municipalities to standardise timelines and costs for standard work packages associated with IPP grid connection.
- Implement industry best practice in the technical assessment and design of grid connection, imbedded on a national level through standardisation bodies.
- Ensure that tools and systems are developed to facilitate the grid connection of IPPs and maximise the productivity of the limited Eskom and Municipal resources
- Review and influence the Grid Code to ensure equitable access for all generators to the grid.
- Review and influence the Grid Code to ensure fair and transparent criteria for all generation technologies associated with the IPP programmes.
- Review and influence the Grid Code to ensure alignment with international best practice.
- Review and influence the Grid Code to ensure that the compliance requirements and processes are equitable and transparent to IPPs.
- Provide a technical service to support the IPP programmes e.g. review of grid connection studies, technical evaluation criteria
- Implement and monitor specific projects required for efficiency improvements, risk mitigation, cost reduction, information dissemination, skills development and integration
- Provide input as required for the creation and maintenance of master plans including but not limited to; grid, gas and liquid fuels.

Expertise & Technical Competencies
The successful incumbent should have:
- BScEng Electrical or Equivalent with at least 5 years’ Experience. However MScEng Electrical or Equivalent will be advantageous.
- A professional registration with ECSA PrEng or Equivalent.

- Degree or relevant qualification in Economics/ Finance/ engineering. Applicable post graduate experience an advantage.
- Experience in the management and implementation of Project Finance transactions in particular on infrastructure projects in the energy or water sectors preferred.
- Experience in managing and coordinating a multi-sectoral team of experts (Financial, Technical, Environmental, Legal, etc.)
- Experience and knowledge in providing guidance to a multi-sectoral project team throughout the lifecycle of the project from origination, through procurement to implementation.
- At least 10 years direct experience in managing successful projects.

- Develop the Programme Management Department’s 5 year Strategic Plan, aligned to the overall IPP Office strategy.
- Direct the interpretation and alignment the Programme Management Department’s strategy into overall business plans and budgets to enable the achievement of the IPP Office goals.
- Ensure Integration of multi-dimensional functions within the programme management function.
- Ensure that the Programme Management Department’s strategic initiatives are translated into the required functional policies, systems and resources in order to make the strategic initiatives a reality within the Programme Management Department’s function.
- Oversee the appointment and management of transaction advisors to key Programme Management related functions.
- Develop, Implement and maintain a Project Management Office, to set the standard for and enable consistency and effectiveness of the IPP Office’s project delivery and project outcomes.
- Ensure that the Programme Management Department’s Strategic Plan (SP) and Annual Performance Plan (APP) are prepared annually.
- Manage the IPP Procurement Programmes and interventions as informed by various stakeholder mandates.
- Project manage strategic initiatives at a high level.
- Initiate and develop creative and innovative programme management processes
- Ensure the appropriate systems and procedures are established and followed, ensuring best practice in project management are continually developed and used with appropriate Programme/Project Management frameworks in place, incorporating the Gateway Review process if required.
- Continuously conduct risk assessments of processes and tasks.
- Escalate, manage and monitor programme risks and issues.
- Produce written reports and make presentations as required
- Create and leverage relationships with key external and internal stakeholders.
- Develop partnerships with key IPP’s/transaction advisory firms/regulatory bodies / relevant government organisations and government officials etc. to build sustainable long term programme management solutions.

Expertise & Technical Competencies
The role requires:
- Bachelors’ Degree in Finance / Economics /Engineering or equivalent Project Management qualification
- (Honours Degree or equivalent preferred.)
- Minimum 10 years’ relevant experience in the management and implementation of large infrastructure, Project Finance and or PPP programmes – in particular on large infrastructure projects.
- Experience in Energy or Water projects advantageous
- Minimum of 8 years should be at Senior Managerial level with experience in dealing with multidisciplinary teams. Accreditation of a recognised Project Management Professional (PMP) qualification is advantageous as this role will be leading 3 Project Managers (at minimum) and supporting Administrative Staff, as well as project teams consisting of consultants as well as broader in-house teams when working on a specific programme initiatives / procurement windows dealing with approx. ZAR50MN per bid window budget controls

- Develop and implement innovative financing instruments, including blended finance, PPPs, guarantees, local currency funding, derivatives, and other financial solutions.
- Conduct detailed due diligence and appraisal of proposed transactions, including commercial, financial, risk, and institutional analysis.
- Provide input into the preparation and negotiation of contracts, with a focus on financial structuring and implications.
- Review and provide input for financial structuring sections of agreements, progress reports, project planning management, project management, disbursements management, waivers and amendments and contract management.
- Facilitate project closure and provide strategic support to senior management as required.
- Test market readiness of the Projects with developers, investors, DFIs and OEMs.

Minimum Qualification
- Bachelor’s Degree in Business Science, Finance, Engineering, Economics or related field.
- A minimum of 8 years’ experience in Project Finance or Infrastructure Finance environment, and the design and structuring of funding models and mechanisms.
- Experience in project finance and/or infrastructure finance, financial modelling and project finance/investment banking experience.
- Experience in successful investment, appraisal, analysis and implementation is required.
- In-depth knowledge of the financing of Infrastructure and Industrial Sector projects.
- Proven ability to negotiate and close infrastructure deals.
- A post-graduate qualification/ honours degree in Finance, Business, Accounting, Engineering or Economics.
