SHEQ COMPLIANCE MANAGER 
CEF SOC 
 
CEF is a Schedule 2 state owned diversified energy company reporting to the Department of Mineral Resources and Energy. The Mandate of CEF is to contribute to the security of energy supply of South Africa and the Region through exploration, acquisition, development, marketing and strategic partnership. It is derived from the CEF Act (No 38 of 1977) and the Ministerial directives issued thereafter. 
 
REQUIRED MINIMUM QUALIFICATIONS AND EXPERIENCE 
 Matric (NQF Level 4) 
 Bachelor’s degree In Law /BTech Degree and Honours Degree or equivalent at NQF Level 8 or specialising in Environmental Law and Health and Safety Compliance qualification 
 Master’s Degree (NQF Level 9) in the relevant field as an added advantage. 
 Accreditation with Compliance Professionals, other, or relevant or recognised environmental organization such as SAMTRAC Certificate will be an added advantage. 
 Minimum 10 years in SHEQ Legal Compliance Application of which 3 years must be at Managerial level; 
 Admitted Attorney or Specialist Practitioner in Environmental Management Application 
 In-depth knowledge of regulatory Environmental legislations and compliance and Disaster Management planning. 
 Experience in implementing, monitoring and auditing of SHEQ policies, procedures and practices. 
 
KEY PERFORMANCE INDICATORS 
SHEQ Compliance and Assurance Management 
• Develop, manage and co-ordinate all SHEQ requirements and strategies required to ensure that the company's processes adhere to applicable quality standards and regulatory requirements. 
• Develop and maintain Quality Compliance Control procedure and policies including guidance Packs. 
• Ensure continuous ISO- and DNV audit compliance. 
• Develop, maintain, and execute a SHEQ audit programme, with internal audits being conducted on a regular basis. 
• Ensure that legal appointments, certification, and compliance are maintained. 
• Conduct risk assessments & generate data books. 
• Update and monitor quality systems and procedures. 
• Provide support, evaluate risk performance and reliability, and recommend corrective and preventative actions. 
• Liaise with all departments to achieve legislative compliance. 
• Assurance provider and champion to ensure the defence matrix of risk management within the organisation is developed, upheld and reviewed regularly. 
• Monitor compliance to legislation and regulations, for example: 
  • NEMA 
  • OSHA 
  • Other Environmental Legislations and By-laws. 
  • SHEQ 
  • MPRDA 
  • Policies and procedures 
• Ensure all company policies and rules comply with the applicable legislation and by-laws. 
• Ensure all process deviations are identified and brought to the attention of the relevant stakeholders. 
• Monitor adherence to good corporate governance, with regards to Board governance structures, maintenance of statutory records, etc. 
 
Operations Support 
• Develop and carry out SHEQ training and educational programmes. 
• Conduct induction training to new employees/contractors, visitors and refresher to all current employees (at least once per year) and those returning to work after illness. 
• Ensure regular emergency response exercises and drills are conducted to ensure the highest level of preparedness in any emergency. 
• Maintain records of such drills, providing recommendations for emergency response improvements. 
• Where applicable supervise the regular inspection of firefighting, safety and emergency response equipment in the building. 
• Ensure that the emergency plans are created and communicated to staff and visitors and update registers on training and induction. 
• Assist in developing all the required documentation, operational checks and reports for the SHEQ Compliance Management to be compliant with applicable legislations and standards. 
 
Stakeholder Engagement and Subsidiary Engagements pertaining to Risk and Environmental Legal Compliance Monitoring 
 Stakeholder identification and contribute to the stakeholder identification process from a unit perspective. 
 Conduct relevant stakeholder analysis initiatives. 
 Provide relevant stakeholder information that will contribute to the stakeholder analysis exercise. 
 Manage internal communication channels to communicate enterprise risk, insurance and compliance management, i.e. newsletter to all staff. 
 Contribute to the stakeholder communication plan. 
 Communicate and provide feedback to relevant stakeholders on a regular basis. 
 Provide the critical information/feedback/presentation that will facilitate management decisions. 
 Ensure that feedback from engagements is filtered back into the unit. 
 Facilitate and oversee effective liaison on projects with internal and external stakeholders on projects. 
 Deliver timeous service to all internal stakeholders concerning enterprise risk management i.e. risk, and compliance. 
 Provide guidance and inputs to the response of the stakeholder needs and assessments. 
 Run risk and compliance workshops across the business to enforce a culture of effective environmental compliance management. 
 Conduct roadshows with key Environmental Compliance stakeholders in terms of the approved strategies. 
 Provide Environmental management guidance to operational managers in the business. 
 Act in an advisory capacity to the CEF Group on overall risk and Environmental management. 
 Advise and continuously engage on reviews of Environmental compliance for the business. 
 
Incidents reporting and management 
 Manage the end to end process of COIDA claims and provide employees with feedback. 
 Follow-up on corrective action for all incidents/I0D's (NCR's raised) by the relevant. 
 Identify non-conformities and provide corrective action measures to prevent re-occurrence. 
 Monitor and report LTI rate. 
 Responsible for day-to-day execution of quality systems. 
 Manage all incident and accident investigations. 
 
Contractor Management 
 Coordinate and ensure all Contractors Safety Files are updated with all OHS legislative requirements. 
 Conduct and report weekly and monthly housekeeping and safety check audits – follow up on corrective action taken for effectiveness. 
 Conduct periodic SHEQ Meetings for First Aiders and SHEQ Representatives. 
 Conduct SHEQ and COVID19 awareness. 
 Coordinate Hazardous Material Management. 
 Ensure Safety & Emergency Signs are in place. 
 Communicate safe work practices and ensure improvement measures are implemented and maintained. 
 
SHEQ AUDIT 
 Conduct corrective action follow-ups on the SHEQ audits carried out & ensure the results correctly reported to the GE Legal, Compliance and Risk Management Division. 
 Obtain Safety Checks Reports. 
 Conduct HIRA (Hazardous Identification Risk Assessments) as required by the relevant SOPs and regulations. 
 Conduct Process Risk Assessments for Production and supporting Plant zones/areas and ensure records are submitted. 
 Support Audit preparation by ensuring availability of SHEQ related records and documents. 
 Verify effectiveness of Corrective actions taken for Safety Checks, Risk Assessments and Audits. 
 
SHEQ Policy Framework 
 Develop, review and update health and safety policies, procedures, manuals and guidelines to stay abreast with health and safety regulations and global best practices. 
 Provide health and safety support to the organisation through the implementation of health and safety programmes and planning to ensure that the organisation’s health and safety objectives and targets are met.

 Honours or Post Graduate Diploma in Commercial/ Competition/ Corporate (NQF Level 8) as an added advantage. 
 Admitted Attorney 
 Minimum 6 – 8 years of which 3 years’ experience must be post admission in Mergers & Acquisitions, commercial and/or Corporate Law 
 Proven experience in financial modelling, risk-benefit analysis, and corporate Law 
 Proven experience in project financing and transactional advising 
 Proven experience in Commercial Contracting and Funding Agreements Structuring 
 Public entities experience will be an added advantage 
 
KEY PERFORMANCE INDICATORS 
Merger and Acquisitions (M&A) functions 
 Advising on a wide range of matters, with a particular focus on BEE, public and private M&A, mining, oil and gas acquisitions, private equity, re-organizations and general corporate/M&A 
 Drawing from multidisciplinary capabilities in finance, tax, and competition and other relevant practice areas to help reduce risk and optimize value for the client throughout the deal life cycle 
 Collaborating closely with client deal teams and industry specialists to help design practical and strategic solutions to legal and commercial concerns 
 Associates work in a collegiate environment, for a range of partners, and can expect a good variety of work. 
 Developing relationships including gaining a good knowledge of businesses, economic drivers, market and sector requirements in order to ensure advice is relevant and commercial. 
 Engaging in business development activities and being active in the promotion of the firm and seeking opportunities for new work 
 Working as part of a team including assisting with the supervision of M&A transactional work, and taking an active part in sharing knowledge and experience with the working stream leads. 
 Associate and give regular and direct contact with business units, external partners, clients. 
 Review and drafting of necessary M&A transitional document, term sheet, non-disclosures and heads of agreements. 
 Adaptable to posting to other offices of our associate and affiliates to manage programme and opportunities where possible.

Contract Management 
 Provide legal advice, opinions and interpretation of all legislation administered and affecting CEF Group Business in relation to contracts and implementation of contracts. Including drafting and review of contracts. 
 To provide support to procurement and must have understanding of PFMA and relevant procurement regulations and process. 
 Conduct, manage and monitor legal risk on commercial matter and due diligence on an ongoing basis. 
 Assist with dispute resolution and mechanism on commercial matters. 
 
Stakeholder relations 
• Interface with other contracting parties, regulatory authorities and external lawyers 
• Manage and monitor litigation and/or outsourced legal matters where applicable via outsourced expertise

KEY PERFORMANCE INDICATORS 
Legal Advice, drafting and administrative functions 
 Provide assistance and support in the implementation of legal services department operational plan. 
 Periodically and timeously perform contracts and/or applicable documents vetting and review. 
 Provide assistance and/or undertake commercial negotiations of contracts. 
 Periodically and timeously provide assistance to review and draft contracts.

Legal Department Administration 
 Assist and support with formulation and review of policy and also under policy enhancement and development activities. 
 Prepare comprehensive briefs and instructions for external legal representatives. 
 Provide high quality legal advice and opinions, legal and regulatory. 
 To pre-empt/identify, evaluate and advise on and manage all potential contractual problems issues and risk. 
 Provide stewardship and tactical advice to direct policy proposals. 
 Maintain the contracts register by registering new contracts on the contracts register and updating the contracts register in accordance with instructions received from management. 
 Scan legal documentation and file originals. 
 Maintain the legal library by updating the legal resource books as and when updates are received from the publication companies. 
 Prepare and complete all required e-workflow requisitions and ensuring timeous payment of all invoices associated with the legal department.

REQUIRED MINIMUM QUALIFICATIONS AND EXPERIENCE 
 Matric (NQF Level 4) 
 Bachelor’s degree/BTech Degree and Honours Degree or equivalent at NQF Level 8 in Risk Management, Economics, Finance/Audit. 
 Master’s Degree (NQF Level 9) in the relevant field as an added advantage. 
 A membership of the Business Continuity Institute and/or any other professional institutions that applies to risk management or other. 
 Minimum 10 years of which 3 years must be at managerial demonstrated experience in audit, risk and possibly compliance post accreditation with focal point on risk with more relevance to Business Continuity Management. 
 Audit expertise in Risk Management, and or with in depth understanding of Business Continuity Management . 
 Thorough knowledge of laws, protocols on risk and disaster management and regulations relevant to industry will be an advantage. 
 Driver’s license. 
 
KEY PERFORMANCE INDICATORS 
Business Continuity Management 
 The Business Continuity Manager will drive sustainable, repeatable and quantifiable improvements to these processes aimed at resilience and risk reduction. 
 The primary responsibilities will be to enhance and/or develop and implement policies and procedures for effective Business Continuity programmes linked to risk management. 
 Ensure documentation of processes are in place and are accurate; communicate requirements and lead projects to implement policies, procedures, and controls, as necessary; and perform periodic programme reviews as and when required. 
 Ensure the proper management and maintenance of governance programmes that support the business as well as a set of policies, procedures, and controls that is applied to technology across the organization to enforce corporate standards and assure regulatory compliance. 
 
Strategic Implementation of BCP 
 Develop, implement and monitor as well as conduct periodic Business Impact Analysis and manage risks of success and failures of Business Continuity Management programme and plan. 
 Implement the Governance Framework consistently with the general regulatory requirements and industry best practices and standards. 
 Collaborate with various departments enterprise-wide to develop and maintain up-to-date business continuity policies, procedures, frameworks and plans. 
 Build an operational and technical Disaster Recovery programme. 
 Develop and conduct business continuity and disaster recovery training and exercises for relevant stakeholders. 
 Implement tools to support BCP including desktop testing software, BCM software, and emergency communication software. 
 Serve as point of contact for any identified resilience issues and risks within the business. 
 Ensure proper coverage across the organization and engage with CEF Group nominated Business Continuity Plan owners. 
 Provide management, leadership, and direction to building, maintaining and enhancing Business Continuity Plans. 
 Accountable for end-to-end management, mitigation and remediation of all continuity risks and issues assigned to the organization globally. 
 Communicate with management and the Board on BCP status including significant enhancements or issues that could impact continuity planning and roll-out. 
 Work with respective departments across the organization to ensure effective understanding of Business Continuity Plans and Disaster Recovery strategies. 
 
BCP ICT and Management Framework 
 Optimisation of existing programmes and tools to improve management of risks and minimise the impact of disruptions on business as well as effectively continue or resume business following a disruption. 
 Continuity planning and event management, development and facilitation of CEF wide event exercises (BCM Scenario planning). 
 Liaise and give feedback to the key Stakeholders and assign responsibilities to Stakeholders. 
 Re-engineering the business continuity planning processes to meet the business requirements. 
 Development of a CEF Capability Tool that measures the maturity and progress of the framework in accordance with the business requirements. 
 Full coordination of the trained Business Continuity Teams in the response, recovery, restoration and resumption of all business operations in accordance with the business continuity plans. 
 Work closely with ICT to develop and maintain ICT Continuity Plan for critical systems and applications. 
 Work closely with the Emergency Response Team to ensure on-going compliance in terms of trained members and preparedness. 
 Evaluate threats using the CEF Risk Management Framework and methodology. 
 Develop and maintain the Business Continuity Portal and filing system in accordance with the National Archives and Records Management Standards. 
 Coordinate Business Continuity Plan Exercises in accordance with the annual exercise schedule. 
 
Monitoring reporting including Stakeholder management 
 Assist the Division and Business Unit in enhancing, formalizing and standardizing the business continuity planning process by identifying and selecting BC strategies per Division. 
 Development of an Incident Management Plan and Support Structure (Strategic, Tactical, Operational). 
 Maintain and review all plans quarterly. 
 Ensure regular reporting to the relevant governance committees providing assurance. 
 Ensure a disaster plan is in place to provide for the protection of vital information assets. 
 
Budget management and monitoring 
 Compile the department budget, monitor the management account to ensure that the Department does not exceed the budget. 
 Manage, support and monitor the tender process to appoint a panel of service providers 
 Manage and facilitate the tendering process of appointment of provider and other.
