Job Purpose: 
Reporting to the Chief Executive Officer (CEO), the incumbent will be expected to provide Corporate legal advice to the CEO and the Board as well as on request to all Directors. Understand the PFMA and the Property Control Trust Act intimately, to advice the Board as well as the CEO on all legal implications as well as all compliance matters for Brand South Africa. Drafting of Ministerial and Trust Regulations as well as legislative drafting. Provide legal advisory notes on range of Corporate and business-related issues such as Trademarks etc. as required.  Drafting of legally sound contacts and the management of contracts within Brand South Africa.
 
Minimum Qualification requirements & Experience: 
  • A university degree in law (BProc/BCom Law or LLB) is required.
  • A master’s degree in law or related field will be an added advantage.
  • 7 years management experience in a Legal environment or having run his/her own legal practice.
  • A practicing advocate who would like to transition to a corporate lawyer.
 
Key Performance Areas:
  1. Participate in the development and implementation of Brand SA’s IT and business strategy.
  2. Contribute input into the conceptualisation and development of the Brand SA IT strategy. Conceptualise, develop the Governance strategy in particular a focus on legal outputs as well as compliance.
  3. Develop, implement and manage all legal functions operations.
  4. Implement the approved Board Secretariat Governance strategy and APP.
  5. Ensure professional written and well researched legal opinions and advice to EXCO on request. Legal advices must be thorough, easy to read and understand and appropriate for each scenario, showing impacts as well as providing options.
  6. Drafting of Ministerial and Board Regulations: Key deliverables will require consultations with legal experts in the communications and related industry. This includes compiling risk advisories, providing legal opinions in terms of any Acts that govern Brand South Africa, and associated regulations, compiling drafts, obtaining approvals and assist in the publishing of legislative amendments and regulations in the Government Gazette.
  7. Oversee the development of an integrated contracts management system. Keep EXCO abreast of all deadlines and compliance matters.
  8. This portfolio requires formal litigation, for and against Brand SA, including preparation, instituting and defending Brand South Africa in corporate legal proceedings, disputes, labour disputes, recoveries and compliance matters.
  9. Ensure that the internal communication system work.
  10. Manage the day-to-day operations of the legal business unit and coordination its operational activities with guidance from the Board secretary.
  11. Planning and organising the running of the organization.
  12. Participate in all specifications on procurement and tender process of the organisation in terms of the procurement policy.
  13. Process innovation to ensure that organisational processes work and are practical.
  14. Organisational Management and Governance.
  15. Ensure implementation and compliance with all relevant laws and regulations as well as Brand South Africa policies, procedures and guidance’s.
  16. Compliance, Monitoring and Reporting (including risk).
  17. Monitoring and reporting quarterly and monthly on the approved APP as well as compliance plans.
  18. Monitoring the achievement of plans through collection of monthly and quarterly progress report (on content, financial and staff, etc.)
  19. Managing the relationship with all legal Professional Service Providers and ensuring harmonious interaction with clients and stakeholders.
  20. To ensure suppliers deliver to SLA’s.
  21. Staff management and development.
  22. Delegate work assignments and tasks to appropriate individuals, providing sufficient direction so desired business outcomes can be achieved.
  23. Provide direct reports with leadership, direction, and coaching to achieve work objectives and improve performance and skills.
  24. Performance Management – ensure that team members achieve their Performance Objectives as per individual agreements.
  25. Staff development, motivation and training.
  26. Financial management
  27. Monitor expenditure with strategic objective and all relevant rule and regulations.
  28. Ensure adherence to all financial and other reporting deadlines (EXCO, Board, Board Committees).
  29. Measuring the Board secretariats business unit performance to ensure optimal and effective utilisation of resources.
 
Required Technical Skills, Competencies and Attributes: 
  • Advice EXCO on strategic legal matters and organisational companies requirements.
  • Project management or contracts management using a Document management system such as SharePoint or similar.
  • Strong labour law experience- to advice HR in all pertinent matters as well as to chair all disciplinary matters.
  • Proven Leadership ability.
  • Exposure to data management systems such as SharePoint, outsourcing tender arrangements and to data mine information as required.
  • In-depth knowledge of applicable laws and regulations as they relate to Brand South Africa and Communications in particular.
  • Proven experience in planning and developing business plans that are sound with measurable objectives.
  • Ability to set and manage priorities judiciously.
  • Excellence written and oral communications skills.
  • Legislative interpretation and application.
  • Legal writing compliance.
  • Knowledge of the PFMA and Public Sector.
  • Knowledge of Trust and compliance thereof.
  • Working knowledge of the PFMA, Property Control Trust Act, Companies Act, King IV- in particular all aspects of Governance.
  • Ability to present legal advisory notes in business-friendly and user-friendly language and to explain all implications to management.
  • Demonstrated ability to apply legal and compliance savvy in decision taken by the Brand South Africa Board and Executive team.
  • Strong understanding and knowledge of information system and experience in a service-orientated or consulting organisation.

  • Thorough understanding of compliance requirements of a section 3A agency of government as well as Tender Regulations.

  • Advance ability to write legal advisory notes that are thoroughly researched and well presented.
  • Reviewing legal contracts, drafting new contracts, MOU’s and SLAs as well as vetting.
