PURPOSE OF THE JOB:
The Governance, Risk and Compliance (GRC) Officer is responsible for aligning GRC requirements, implement and maintaining GRC initiatives in line with organisational strategies, policies, and practices.
 
CRITICAL PERFORMANCE AREAS:
  • Monitor implementation of the approved Risk Management Strategy, as defined by Senior Manager: Governance, Risk and Compliance
  • Understand Armscor’s strategic business objectives, business model, business practices, risk appetite and tolerance
  • Act as a point of reference and expert in governance, risk and compliance related matters and in particular, advise on policies and practices which have potential risk exposure implications
  • Develop, monitor and implement the risk appetite framework
  • Facilitate risk assessment workshops for all operational processes to identify risks inherent to the design, management, or performance of business processes, procedures, systems, and people
  • Monitor risk registers, emerging risks and the implementation of mitigation action plans
  • Foster awareness, assist in creation and promotion of a risk culture within the entire organisation
  • Review and provide input to risk registers to ensure that management develop and maintain accurate and complete risk registers
  • Perform data analytics to identify new, emerging and/or materialised risks at a Departmental Risk Register level
  • Review and provide input to management documents
  • Short and medium-term planning, co-ordination and execution of risk management activities and projects
  • Act as Secretariat for the Division at the quarterly CRMC meetings
  • Facilitate implementation of compliance management framework and monitor organisational compliance with applicable Legislation, policies and procedures
  • Understand the relevant legal and regulatory compliance requirements and compliance standards
  • Proactively track legislative developments relevant to Armscor and update the regulatory universe
  • Conduct regulatory gap analysis for primary legislation
  • Conduct Compliance Risk Management review and update the Compliance Risk Management Plan (CRMP)
  • Analyse conflicts of interests (Annual declaration)
  • Implement on-going training and awareness (fraud prevention, risk management and ethics)
  • Conduct the ethics risk assessments
  • Monitoring the implementation of the fraud prevention plan
  • Conduct the fraud risk assessment, tracking and monitoring fraud risks in the organisation
  • Facilitate GRC tool implementation and management
  • Compile regular communication to risk champions on any Governance, Risk and Compliance related issues
  • Co-ordinate implementation of the governance framework effectively and efficiently
  • Research risk methodologies and industry and external events that may impact the business in order to refine the risk management practices or highlight concerns
  • Mentor the Governance, Risk and Compliance Interns
 
QUALIFICATIONS:
  • B Degree / B Tech in Risk Management / Audit or equivalent in related field.
  • Honours / Post Graduate Diploma in Risk Management will be advantageous.
 
TECHNICAL / LEGAL CERTIFICATION / PROFESSIONAL REGISTRATION
  • Professional qualification in Risk Management (ISO 31000, CFE, CIA, Certified Ethics Officer)
  • Membership with a professional body advantageous. 
 
EXPERIENCE:
  • 3 – 5 or more years of relevant work experience in Governance, Risk and Compliance
  • Experience working in a medium to large organization “

PURPOSE OF THE JOB:
The Governance, Risk and Compliance (GRC) Specialist is responsible for managing the enterprise risk and compliance initiatives for Armscor and ensuring the implementation of enterprise risk management best practices by analysing current and potential risks, compliance environment and reporting on risk exposures and prevention strategies
 
CRITICAL PERFORMANCE AREAS:
  • Develop and monitor the Annual Risk Management Implementation Plan in line with the approved Risk Management Strategy
  • Develop methodologies to perform analysis of the internal control environment
  • Drive best practice, continuous improvement, and innovation at the process and procedure level within the GRC team
  • Ensure accurate and timely reporting to enable the regular review of the strategy, roadmap, and performance to ensure its alignment with the changing dynamics of the internal and external environment
  • Monitor, review and maintain the governance framework of the GRC
  • Develop and implement compliance management framework and monitor organisational compliance with applicable legislation, policies and procedures
  • Monitor and update the regulatory universe of Armscor and report on compliance
  • Facilitate risk assessments for all operational processes to identify risks inherent to the design, management, or performance of business processes, procedures, systems, and people
  • Monitor organisational Risk Registers, emerging risks and the implementation of mitigation action plans.
  • Lead the development of risk mitigation controls and recommendation of internal controls with ownership by the business units, for controls and mitigation action plans
  • Work with the Internal Audit Division to determine the effectiveness/ineffectiveness of defined controls using control testing or validation methods and arrive at the residual risk
  • Analyse and advise on costs associated with risk non-compliance maintenance and prevention
  • Provide Risk Management analytics data across all possible internal and external risks
  • Perform Business Impact Trend Analyses on both internal and external risks that need to be addressed to sustain business operations stability
  • Facilitate annual fraud and ethics risk assessments
  • Monitor the progress on the implementation plans
  • Monitor the irregular, fruitless and wasteful expenditure of Armscor
  • Monitor the Risk Appetite  and assist in the development and integration of a set of Key Risk Indicators
  • Create and maintain an effective risk presence in the organisation and to ensure that any incidents of a risk management nature, can be identified in a timely manner
  • Assist with providing risk and compliance advisory services
  • Liaise with other assurance providers to ensure that coverage is relevant and provides the necessary assurance regarding the effective operation of the control environment and combined assurance.
  • Drive training and awareness across the organisation
  • Facilitate GRC tool implementation and management
  • Research risk methodologies and industry and external events that may impact the business in order to refine the risk management practices or highlight concerns
  • Ensure on-going training and awareness (fraud prevention, risk management and ethics)
  • Ensure preparation of risk and compliance management reports to stakeholders (i.e., Audit, and Risk Committee, Exco,  CRMC and all necessary reports) also compile regular communication to Risk Champions on any risk related issues e.g. Risk appetite, KRI’s, Risk Action Plans
  • Supervise the GRC Officers
 
QUALIFICATIONS:
  • B degree in Risk Management / Audit / or equivalent
  • Honours / Post Graduate Diploma in Risk Management will be advantageous.
 
TECHNICAL / LEGAL CERTIFICATION / PROFESSIONAL REGISTRATION
  • Professional qualification in Risk Management (ISO 31000, CFE, CIA, Certified Ethics Officer)
  • CRM Prac accreditation or Bachelor of laws degree will be advantageous

PURPOSE OF THE JOB:
Assisting in the management of the Forensic and Special Investigations requirements and remits to ensure the effective execution, management and reporting of the internal investigations.
 
CRITICAL PERFORMANCE AREAS:
Internal Audit Portfolio Management
  • Provide a specialist management input on internal Forensic and Specialised Investigations and other Internal investigations and contribute into the development and implementation of Internal Audit Management documents, including charters, policies, practices, procedures, standards, methodology and guidelines pertaining and applicable to the Forensic and Specialised Investigations and other special coverage engagements.
  • Develop, map and maintain audit programmers through documentation of the business process, as well as flowcharting of each audit assignment to ensure completeness of control and embedded risks.
  • Provide specialist inputs towards the development and implementation of templates and programs to be used in ensuring consistent output and quality audit requirements and outcomes in the Forensic and Specialized Investigations, internal investigations and other special coverage work of operations.
  • Develop working and reporting templates to facilitate adherence to the requirements of legislation, investigation frameworks and approved management documents;
  • Evaluate staff performance and provide feedback via informal discussions, quarterly/semi-annual performance sessions and the annual review process
  • Ensure the effective functioning of the internal investigations process through accurate and timely recording of case information in a centralized database;
Special Coverage Consulting, Advisory and Assurance Role
  • Plan, resource and manage the execution of the special assignments assigned to you by the Senior Manager: Internal Audit or the CAE.
  • Prepare the Engagement Planning Letter / Terms of Reference for the special coverage engagement work or forensic and specialized investigation. 
  • Register and maintain a register for all the special assignment allocated to Internal Audit by the Senior Management and/or CAE.
  • Undertake the execution of the special assignment and report to management within the agreed timelines;
  • Undertake the execution of the investigations and special assignments within the defined timelines and produce the related report for providing feedback on the outcome of the special assignment;
  • Plan, allocate/assign and manage the special assignments and ensure the successful execution of these assignments to and reporting to the agreed timelines.
Forensic Investigations
Governance of Forensic Investigations
  • Implement an effective framework for the management of Forensic and Specialized, other internal investigations and special coverage work to be undertaken by Internal Audit and/or its partners;
  • Receive and register into a case management system/approved spreadsheet all investigations requested by management and the whistle blowers’ allegations referred to Internal Audit;
  • Maintain and regularly update the records of the investigations on the investigation register / database or system; 
  • Ensure and maintain high level of confidentiality pertaining to forensics and all other internal investigations; 
  • Draft, recommend for approval and implement the approved investigation budget, procurement plan and annual training plan for skills improvement;
  • Ensure liaison with the Employee Relations and the Risk Management Division and all other relevant parties within the organization to ensure the implementation of investigation outcomes and the recommendations;
  • Effective management of all administrative duties related to the investigations and associated admin;
Execution of Forensic investigations
  • Plan, resource and manage the execution of the full investigations requested by the senior management and/or the board and approved by the CAE;
  • Prepare Terms of Reference (ToRs) for each investigation requested from Internal Audit by the Senior Management and the Board;
  • Assist the service providers in obtaining the information required for investigation purposes and make necessary arrangements for the investigating specialist to undertake their investigations
  • Undertake the successful execution of the investigation and report to management within the agreed timelines and participate in investigations and initiatives by providing expertise, consulting and forensic services;
  • Undertake the quality assurance review of the investigation file, working paper and the investigation report and ensure the quality assurance review of the work undertaken by the service providers and the investigation team allocated to investigations;
  • Oversee the timely and effective conduct of internal investigations and case reviews;
Reporting of investigations
  • Prepare and draft the complete, accurate and good quality investigation reports and briefs for the senior management related to client’s investigation and outcomes;
  • Prepare status reports for the investigations that take long to complete and providing the reasons for the delays and way forward;
  • Ensure effective linkages with other law enforcers and authorities to ensure the implementation of the due legal processes;
  • Provide monthly statistics and reports on the status of investigations to ensure speedy appreciation and management report on investigations.
Leadership & Supervision & Other Tasks
  • Manage the audit teams towards the achievement of the Forensic and Specialised Investigations, internal investigations and other special coverage work plans;
  • Must mentor and coach auditors at the operational and junior levels
  • Participate in ad hoc audit related activities as and when required by the Senior Manager and/or the CAE;
 
QUALIFICATIONS:
Compulsory Requirements
  • B. Com Degree (Auditing/Investigation) or related Degree or B-Tech, plus
  • Honors Degree or Postgraduate Diploma Qualification
Added Advantage
  • CIA/CFE/CA(SA) or any related Audit/Investigation/Governance Certificate

  • Must be a member of the institute of Internal Auditors (IIA) or

  • A minimum of 3 years solid management experience in the management of       investigations; 
  • Exposure to Internal audit management / leadership experience;

FORENSIC AUDITOR

PURPOSE OF THE JOB:
To provide independent, objective and strategic investigations into possible suspicion of fraudulent activities. Assist with developing and optimizing of the existing fraud prevention and detection processes to prevent re-occurrence. To promote a zero tolerance control environment.
 
CRITICAL PERFORMANCE AREAS:
  • Request Management for a tasking letter and submit to Senior Manager for acceptance.
  • Draft a Terms of Reference (Scoping of the engagement) in accordance with management request / whistle-blower reported suspicion of fraudulent activity and submit it to Senior Manager for approval.
  • Plan and prioritise own activities in accordance to allocated hours.
  • Forensic Auditor will conduct and lead internal investigations of alleged or suspected violations of criminal law and corporate policies, including theft, fraud, embezzlement, conflict of interest, and collusion, kickbacks, and records falsification.
  • Gather, review and analyses data in support of an investigation.
  • Conduct information and admission type interview.
  • Prepare a clear, comprehensive and cohesive investigative report and memoranda in a timely manner.
  • Prepare work papers to adequately document investigation performed with supporting evidence for all forensic findings.
  • Provide effective recommendations and solutions to identified issues.
  • Incorporate Supervisor or Manager or Senior Manager’s comments on the draft report.
  • During investigations interface with various levels of the organization, including Senior Management.
  • Provide the client with the draft report as well as the recommendations for the client to comment and indicate corrective actions.
  • May be required to testify in hearings
  • Provide concise and meaningful updates to Internal Audit Leadership, senior management, human resources and legal team (when required)
  • Write progress and monthly reports to the Supervisor or Manager or Senior Manager.
  • Provide consulting and advising service to internal stakeholders participating
  • Assist in Special Projects when requested
  • May supervise and mentor Forensic Interns.
