This includes the review of tender documents to ensure that the eventual contract awarded will be functional, legally compliant and suitable to the user requirement specification. Vetting contracts for legal compliance and overseeing the management thereof in terms of the contractual provisions until close out. Incumbent will be expected to engage at a high-level with GM Legal and Compliance, Acquisition Council, Divisional Supply Chain Management, Project Managers, Transnet Group Strategic Supply Management, suppliers, contractors, consultants and other key stakeholders Position outputs: 1. Implement Contract Management Framework • Plan, articulate and formulates TPL’s contract management approach applicable to the management of contracts; • Implement a contract expiry system that tracks all contracts for TPL to ensure contracts are in place and valid prior to expiry; • Take responsibility for SAP CLM and all matters pertaining from a supply contracts point of view and maintenance of contract management templates on CLM; • Regularly monitor day-to-day aspects of contracts administration to monitor that costs are properly reconciled and checked against payment schedules, • Monitor adherence to TPL’s contract management approach to show consolidated achievement of strategic and tactical objectives on contract management. Formulate plans for corrective action, if required. 2. Manage Key Stakeholder Relationships • Manage all relevant stakeholders to expedite the contract execution process; • Develop and manage a system to gather and communicate supplier performance information to key stakeholders; • Communicate the objectives of contract management framework to internal and external SCM stakeholders; • Develop an applicable Service Level Agreement with set time lines for job progress measurement on contracts; • Collaborate with Supplier Relationship Management to be informed on strategic partnerships, and ESD to be informed on supplier development programmes; • Conduct training on contract management to Supply Chain Management stakeholders and OD end-users as required. 3. Provide contract management support • Draft and amend strategic contracts for TPL; • Identifying commercial risk factors at the time of contracting / contract amendment and providing the required escape clauses, checking the financial risk in terms of the pricing and terms of price adjustments (i.e. frequency of adjustments and applicable escalation formulae); • Verifying the pricing structure of capital and consumer products on local and foreign supply contracts relating to short-, medium-, and long term projects; • Monitor the financial impact on the budgets and cash flow to ensure there is always sufficient funds of the terms of contracts; • Check the legality of contracts of local and foreign suppliers of existing and future contracts; • Manage price adjustments on strategic contracts through developing a dashboard of daily tracking on exchange rate movements and applicable indices, such as the Consumer Price Index, the Production Price index, SEIFSA Index and international required indices; • Calculate and verify supplier price adjustment claims, including the development of a format for price breakdowns to be used for price adjustment purposes; • Develop a tracking system on price management, as per the pricing clauses contained in the various strategic contracts; • Provide input and recommendation on supplier performance against TPL’s strategic contracts such BBBEE practices and follow up if all benefits (i.e. quantity and payment discounts) from commercial deals are utilised. • Ensure that ESD requirements are met in line with legislation, e.g. the minimum subcontracting criteria and eligibility of suppliers identified for this. 4. Monitor compliance to contracts management frameworks • Analyse and report on adherence to contract management practices on TPL’s portfolio of contracts a quarterly and annual basis; • Input into formulation of performance indicators and metrics; and • Report on the overall performance of relevant aspects in the Contract Management COE and other Transnet Group structures like EXCO and the iSCM Council 5.Performance Monitoring and Reporting: • Review the monthly reports on all contracts activities and meetings with Projects team; • Review the Contract Review Record and ensure that relevant issues from the review are fed back into the procurement process; • Approve compliance action where appropriate; • Review and approve the financial and administrative reports; and • Review and approve all contracts for accuracy and changes prior to award and renewal in compliance with Transnet’s approval framework 6.
