The provision of non-financial services is through five (5) subsidiaries companies, viz., Corridor Mining Resources (CMR), Fetakgomo Tubatse Industrial Park (FTIP), Great North Transport (GNT), Musina-Makhado SEZ (MMSEZ) and Limpopo Connexion (LCX). GROUP COMPANY SECRETARY Job Responsibilities: The Company Secretary will be reporting to the Group Chief Executive Officer and is expected to: Provide Board of Directors with guidance in discharging their fiduciary duties, responsibilities and powers and make Directors aware of all legislations and regulations relevant to the organisation. Assist and advise the Board in ensuring good corporate governance and in complying with the corporate governance requirements and best practices. Ensuring compliance with the company’s memorandum and articles of association and effecting any changes to meet the needs of the company. Prepare the schedule of shareholders, board and committee meetings, and agendas of these meetings in conjunction with the chairperson and key executives. Ensure that minutes of shareholders meetings, board meetings and meetings of any committees of the board are properly recorded in accordance with the Company’s Act. Responsible for preparing all or parts of the annual report and ensuring that statutory deadlines are met, and that the statutory and regulatory disclosures are validated, particularly in relation to statements given on corporate governance standards and practices in the company. Develop and implement a whistle blowing policy and procedures in conjunction with the Chief Executive Officer and board chairperson. Build and strengthen strategic relationships with key stakeholders. The ideal candidate must be in possession of the following qualifications and competencies: A Bachelor’s degree in law or any legal related field. A candidate must at least be busy with the Chartered Institute of Secretaries (CIS) Diploma or similar legal qualification. Postgraduate qualification in the relevant field will be an added advantage. 5 years’ experience at management level. More than 10 years industry experience. Good knowledge and understanding of Companies Act and other related legislation and the ability to maintain a high level of trust, integrity, and morality. Knowledge of King Report iv and Code. Knowledge of Public Finance Management Act and Treasury Regulations. Attention to detail and always abreast of new developments, legislations, rules, and regulations. EXECUTIVE MANAGER: CORPORATE SERVICES FIVE (5) YEAR PERFORMANCE BASED FIXED TERM CONTRACT Job Responsibilities: The Executive Manager: Corporate Services will be reporting to the Group Chief Executive Officer and is expected to: Develop and co-ordinate operational activities of LEDA at the highest level of management. Liaise with external auditors and the finance committee of the Board of Directors on the annual audit process and implement changes necessary. Develop and oversee the implementation of corporate services strategies, plans, policies, and procedures in alignment with the company’s strategic objectives. Generally, manage the HR function and ensure LEDA’s HR systems and practices are compliant with statutory and legislative requirements. Develop and implement policies, procedures, and practices in keeping with current industry best practices and compliant with all applicable legislations and regulations. Build organisational capability and effectiveness through driving integral strategies and practices covering all facets of human resources; including but not limited to talent acquisition, training and development, employee relations, compensation, benefits, and performance management. Create a high-performance culture by collaborating with management and employees to establish a positive work environment. Provide leadership, innovation, governance, and management necessary to identify, evaluate, mitigate, and monitor LEDA operational and strategic risk. Develop risk management strategy, tools, practices, and policies to analyse and report risks, and to manage risks according to a risk management framework. Ensure the organization’s risk management policies and strategies are in compliance with applicable laws and regulations. Manage the provision of administration support and monitor all LEDA’s facilities to ensure they are upheld to good standard and comply fully with all statutory regulations. Participate in the effective delivery of services and the efficient administration of the organisation as a whole. Provide strategic and operational oversight of all management information systems (MIS), as well as ensuring linkage and integration of systems, telecommunications, and related technology. Ensure that the company has effective business improvement processes in place and monitoring arrangements which support LEDA strategic objectives and commitment to customer care and value for money. Control and monitor performance in accordance with the Performance Management System employed by LEDA. Develop and embed a culture of customer focus and performance management to ensure high quality and continuous improvement in service delivery. Ensure compilation of budgets in accordance with budget policy and regulations. Drive a culture of high performance. The ideal candidate must be in possession of the following qualifications and competencies: Postgraduate qualification in the relevant field, 5 years’ experience at an executive level, and more than 10 years industry experience, Knowledge of all administrative aspects of financial and human resources management, Proven track record of successfully facilitating progressive organisational change and development within a growing organisation, Strong mentoring, coaching experience to a team with diverse levels of expertise, Ability to analyse complex situation, which have multiple and conflicting priorities and placing these situations into relevant, long-term context and to present solutions that address these conflicting priorities in the long-term, Ability to inspire others and has a strong personal commitment to the attainment of set goals. Sound understanding and successful track record of achievement in managing: HR management, Administration support, Facilities management, Marketing and Communications and Legal Services. LEGAL ADVISOR X 1 Job Responsibilities: The Legal Advisor will be reporting to Head: Legal Services and is expected to provide legal advice and support in discrete legal issues by advising the organisation on drafting contracts, agreements, MOU’s, debt collection, civil litigation, registering loan securities, evaluating legal documents and labour related matters. Conduct legal analysis and research on various legal matters of the organisation and assist in drafting legal opinions, memoranda and other briefing documents. Provide legal assistance while dealing with some particular legal tasks, litigations, contracts, dispute resolution and guide the organisation on taking an appropriate decision. Provide advice on whether all the proceedings of the organisation are in compliance with the requirements of the legislation and organisation’s policies and procedures. Provide advice to the organisation so that there is minimum legal exposure and liability. Keep abreast of any changes in relevant legislation, make recommendations and advise management on new developments and related changes that may affect the organisation. The ideal candidate must be in possession of the following qualifications and competencies: A legal tertiary qualification, e.g. B Proc or LLB, 5 years’ experience as a legal practitioner, either in corporate or legal practice environment, admission as Attorney/ Advocate will be an added advantage a demonstrable and proven track records in drafting legal documents, contracts and agreements, ability to draft legal opinions, agreements, memoranda and briefing documents, excellent analytical, research and writing skills, the ability to make good judgements, and be able to work well within a team, good communication skills, be able to manage a large workload with a tight deadline and remain up-to-date with laws, Sound understanding of all relevant compliance Acts and legislation affecting area of work, ability to analyse legal cases, make judgements on issues and apply case law appropriately and effectively, strong working knowledge of PFMA, Company and Tax Law and Regulations and contract law and all other relevant legislation, strong interpersonal and communication skills and the ability to take good decisions based on judgement are absolutely essential, excellent analytical, researching and drafting skills.
