NATIONAL CONSUMER COMMISSION (NCC) a member of the dtic group INVITATION FOR INDEPENDENT CHAIRPERSON TO SERVE ON THE RISK MANAGEMENT COMMITTEE OF THE NATIONAL CONSUMER COMMISSION REF: NCC01/05/23 The National Consumer Commission (NCC), established in terms of the Consumer Protection Act 68 of 2008 (CPA), hereby invites applications from suitably qualified persons to serve as an Independent Chairperson of its Risk Management Committee. The applicants should have sufficient qualifications, knowledge and extensive experience to serve on the Risk Management Committee of the NCC. The ideal candidate should possess (at minimum) the following:
Qualifications for Chairpersonship: - A minimum of a Bachelor’s Degree and a Post-Graduate Degree in Auditing, Risk Management. Must have one or more of the following: CRM (Prac); CRM (Prof); CRISC; CRMA and CA (SA) / Professional Accountant. A professional qualification and affiliation to a professionally recognized body for appointment as a Chairperson of the Risk Management Committee of the NCC. An understanding of the Consumer Protection Act 68 of 2008 will be an added advantage. Experience: - Candidates should have executive management experience in Governance, Risk Management and Internal Controls environments for more than 10 (ten) years with exposure to serving in the oversight Committees. Term of Office and Members Remuneration: - The term of office for the Independent Chairperson of the Risk Management Committee is 3 (three) years after which the Accounting Authority may consider a renewal for a further 1 (one) year. The appointment will be reviewed annually based on the performance and attendance of the Chairperson. The compensation of the Independent Chairperson of the Risk Management Committee will be determined at an hourly tariff based on Sub-Category D2 of the National Treasury Remuneration Levels as signed and approved by the Minister of Finance. The costs are limited to a maximum of 9 (nine) hours per meeting which is inclusive of time spent preparing for the meeting. There is a minimum of 5 (five) meetings held per financial year. Eligibility: - To be eligible for appointment or designation as Chairperson of the Risk Management Committee, the applicant must not: • Be an office bearer of any political party, movement, organization or body of a partisan political nature, personally or through a spouse, partner or associate – (i) acquires a direct or indirect financial interest in a supplier (as defined in the CPA); or (ii) has or acquires an interest in a business or enterprise, which may conflict or interfere with proper performance of the duties for a member of the Committee. • Be and un-rehabilitated insolvent or become insolvent; • Be or is removed from an office of trust on account of misconduct in respect of fraud or the misappropriation of money; • Be subject to an order of a competent Court holding that person to be mentally unfit or disordered; • Within the previous 10 (ten) years, have been, nor be convicted in the Republic of South Africa or elsewhere of theft, fraud, forgery or uttering a forged document, perjury, an offence under the Financial Intelligence Sector Act, 2001 (Act 38 of 2001), or an offence involving dishonesty; or • Be convicted of any other offence committed after section 35 of the Constitution of the Republic of South Africa, 1993 (Act 200 of 1993), took effect, and sentenced to imprisonment without the option of a fine. Duties The Chairperson will amongst other duties perform the following: • Provide oversight on the review and monitoring of the implementation of the risk management framework, policy, charter and strategy within the NCC • Provide guidance on the integration of risk management into planning, monitoring and reporting processes. • Provide advice / guidance on setting risk appetite and review risk appetite, tolerance levels, and anti-fraud measures. • Lead the Committee in conducting its activities in terms of the Public Sector Risk Management Framework, PFMA, Risk Committee Charter and King IV Report on Corporate Governance. • Provide quarterly reports to the Audit & Risk Committee on the state of risk management, together with aspects requiring improvement accompanied by the Risk Management Committee’s recommendations to address such issues. • Perform any other duties of the Risk Management Committee as specified in the terms of reference (Risk Committee Charter).
