Ensure an effective Supply Chain Management Service in compliance with GTA priorities: Deliver procurement services to the organisation. Support national imperatives in relation to BEE and job creation. Responsible for policy development (Supply Chain, BEE). Ensure legislative compliance. Drive the development of alternative sourcing mechanisms. Source BEE/ SMME suppliers and monitor and report on procurement spent. Establish and maintain tender application and evaluation procedure. Ensure effective Financial Compliance and Controls: Promote and ensure compliance with best practice Financial Management and Accounting standards, regulatory requirements, governance practices and audit requirements in all accounts, ledgers, and reporting systems and ensure the implementation of the prescripts of the PFMA. Ensure the maintenance of internal control safeguards, the co-ordination of all audit activities (Internal and External) and the implementation of all audit resolutions to achieve an unqualified audit. Support the Development of Organisational Strategy, Monitoring, Evaluation and Reporting of Organisational Performance: Support the organisational planning, monitoring and evaluation and performance reporting cycles of the GTA in line with Provincial and National Cycle times. Develop annual office of the CFO business plan aligned to GTA Strategy. Conduct quarterly M&E sessions to track progress and take corrective action to contain operational expenditure. COMPANY SECRETARY (Reference Number: CS/01/2023) Cost to Company Package: R 1 209 353 per annum (all-inclusive), negotiable Haygroup Salary Scale Level 19 Gauteng Tourism Authority (GTA) seeks to appoint a Company Secretary who has a sound understanding of the strategic direction, divisional objectives and business planning at the local, provincial and national government levels in order to provide the required support. KEY PERFOMANCE AREAS The Company Secretary will be responsible for: Ensuring good Corporate Governance: Provide support to the Board, its committees and organization, to ensure compliance with all legislated and corporate governance requirements. Develop, review, and maintain corporate governance policies and procedures at required standard and within deadlines. Providing Board and Board Committees administration and Support: Develop, update and conduct board induction for new Board and Committee Members. Annually develop, review and implement an approved Board Committees Administration Framework to facilitate compliant administration practices, including but not limited to: meeting packs; agenda’s; minutes and schedules. Provide Legal Counsel: Develop and manage standard terms and conditions for the GTA to ensure consistency of commercial, legal and risk management across the GTA. Provide commercial, legal advice and support to the GTA Board, Executives, Senior Management and various Business Units. Represent the GTA in business and litigation matters. Ensuring sound Contract Management and Administration: Prepare contract documentation, negotiate, and vet contracts with suppliers, partners and vendors and keep all contracts up to date. Ensuring compliance with PFMA, procurement and financial policies and procedures as well as all other relevant legislation and regulations: Assist the CFO in ensuring that procurement is in line with the supply chain management policy and PFMA. Serve as a permanent Bid Adjudication Committee (BAC) member and render advice and opinions where necessary. Create awareness by disseminating pertinent legal information to support the GTA culture of continuous learning. Facilitate Stakeholder management with various legal role-players: Research and analyse the implications of case law, legislation and regulatory matters that affect the GTA and provide feedback to Management, the Board and the CEO. Liaison with State Law Advisors and any other stakeholder with regards to legal matters on behalf of the Authority. MINIMUM REQUIREMENTS The Company Secretary position calls for a highly skilled individual who has a minimum qualification of a Bachelor’s Degree in Law (LLB) and/or a related NQF Level 8 qualification. Admission as an Attorney will be an added advantage. In terms of experience, the requirements are, three (3) years’ experience in contract drafting and providing legal counsel, four (4) years’ experience as a Company Secretary. Experience in the public sector, private sector and state-owned entities.
