METRO MUNICIPALITY - METRO MUNISIPALITEIT - LEKGOTLA LA MOTSE INVITATION TO APPLY FOR APPOINTMENT TO THE CENTLEC (SOC) LTD (“CENTLEC”) BOARD OF DIRECTORS ACTING CITY MANAGER - TEBOGO MOTLASHUPING The Council of Mangaung Metropolitan Municipality, (“MMM”), hereby invites applications in terms of Section 93E of the Municipal Systems Act of 32 of 2000 (‘MSA”) from suitably qualified candidates for possible appointment of seven (7) non-executive directors to the CENTLEC (the “Board”) Board of Directors for a period of 3 (three) years. MMM is mandated in terms of Section 152(b) of the Constitution of the Republic of South Africa, 1996 (the “Constitution”) to ensure provision of electricity services to its surrounding communities in a sustainable manner. MMM discharges its constitutional mandate of electricity provision through CENTLEC, which is a municipal entity of MMM and in which MMM is sole shareholder. CENTLEC is therefore a municipal-owned company wholly committed to making sustainable improvements in the delivery of electricity to different households and businesses in the municipal area of the Mangaung Metropolitan Municipality. The Council of MMM hereby invites prospective candidates to apply for appointment to the Board of CENTLEC.
1. DUTIES OF THE APPOINTED CANDIDATES The roles and duties of the individual Board members shall consist of the duties as contemplated in Section 93H of the MSA, which includes inter alia: 1) To provide effective, transparent, accountable and coherent corporate governance by exercising ethical and effective leadership in striving towards the achievement of an ethical culture, good performance, effective control as well as legitimacy within CENTLEC; 2) To conduct effective oversight of the affairs of CENTLEC; 3) To ensure that CENTLEC complies with all applicable legislation and agreements; 4) To communicate openly and promptly with MMM and CENTLEC; and 5) To conduct its work with due diligence, in good faith and ensure interface between the Board and shareholder (MMM). 2. REQUIREMENTS FOR POTENTIAL CANDIDATES 1) Candidates must be suitable to serve on the Board by virtue of their qualifications, expertise and experience in any of the following fields: Legal (1 person), Engineering, (2 persons – 1 civil and 1 electrical) both registered with ECSA, Honours or Masters in engineering will be an added advantage, Information and Communications Technology (2 persons), Accounting and Auditing (Chartered Accountant) (1 person) and ICT (1 person) Honours or Masters in engineering will be added advantage. 2) Candidates must have a minimum of 10 (ten) years’ experience in their respective fields of expertise. 3) Candidates must have expertise in corporate governance. 4) Independence: MMM shall utilize the test for independence as contemplated in principle 7.28 of the King IV as guidance in determining the independence of a candidate. 5) Preference will be given to candidates who will be able to lead CENTLEC objectively and independently. Any person’s previous history with CENTLEC will play a crucial role in determining their independence. 6) Candidates must: a. Provide high-level leadership for CENTLEC, including working closely with CENTLEC's executive management to set long-term organisational goals and providing oversight; b. Be self-motivated, efficient, methodical and highly organised; c. Promote and advance the vision, mission and values of CENTLEC; d. Express knowledge and understanding of the Constitution of the Republic of South Africa Act, Municipal Finance Management Act (the “MFMA”), the Municipal Systems Act, Municipal Structures Act, King IV, Companies Act and any other local government legislations and regulations; e. Show interest and/or passion for communities within CENTLEC’s area of supply; f. Display strong cultural, gender, religion, race, nationality and age sensitivity and adaptability; g. Be prepared and able to travel for various Board meetings in the year; h. Have the ability to plan, prioritise and deliver tasks on time, particularly in reviewing Board documents, notes and minutes from all meetings of the Board; and i. Maintain the highest level of confidentiality in the interests of CENTLEC and MMM. 3. AUTOMATIC DISQUALIFICATIONS 1) Candidates shall be automatically disqualified from appointment as contemplated in Section 93F of the Municipal Systems Act read together with section 69 of the Companies Act 71 of 2008. 4. FURTHER CONSIDERATIONS 1) The appointment of Directors by MMM shall be geared towards supporting achievement of the transformational goals of the Republic of South Africa by giving preference to previously disadvantaged designated groups. 5. PERSONAL ATTRIBUTES Personal attributes of the best suited Board members include and are not limited to the following: 1) An in-depth knowledge and understanding of CENTLEC and its mandate; 2) Leadership; 3) Ability to prioritise CENTLEC and Board service; 4) Ability to follow through with commitments; 5) Passion for the work of CENTLEC; and 6) Passion for the operation of electricity and electricity insight into the electricity provision industry. 6. APPLICATIONS MUST CONTAIN: 1) The applicant’s Curriculum Vitae, providing the following information: full name and surname; certified copy of RSA identity document, certified copy of qualifications, gender; latest postal address, contact and fax numbers/ email, address and contact details of the applicant; 2) Previous director experience citing dates and organisations or institutions concerned; 3) Academic qualifications and other directorships; 4) Disclosure of current and/or potential personal financial interests, including contracts and shareholdings, in relation to CENTLEC; 5) Whether the applicant has a criminal record, including details of any defaults or judgments; and 6) Confirmation of whether the applicant has ever been declared a delinquent Director. 7) Field of preference in the areas stated in paragraph 2 above. 7. REMUNERATION 1) Applicants must not view their potential appointment as an opportunity for personal financial gain. 2) Remuneration will only be applicable to candidates employed outside the public service in line with tariffs guideline determined by the National Treasury from time to time. 3) No remuneration will be payable to officials employed at National, Provincial and Local government, its agencies or other entities regarded as falling within the definition of an organ of state except for out-of-pocket expenses which may be reimbursed. 8.
