RAILWAY SAFETY REGULATOR (RSR) The Railway Safety Regulator (RSR) is a public entity established in terms of Act 5 of 1998 to administer certain laws and to ensure that the functions of the Regulator in terms of this Act are performed. Signium Africa has been retained to advise on appointing a results-driven and ethical individual to the following key position within the RSR's Legal Services and Board Governance Department, based at Head Office in Midrand (Waterfall). EXECUTIVE: LEGAL SERVICES AND BOARD GOVERNANCE 5 Year Fixed Term Contract
Key performance areas: • Develop and implement a code of ethics for the RSR. • Liaise with Chair of the Board on Board Committees. • Liaise with the Office of the Minister on behalf of the Chairperson. • Communicate with Board members on behalf of the Chairperson and executive management. • Report on compliance with legislation to the Audit Committee and the Board. • Draft Board charter and meeting protocol and ensure implementation. • Convene committee meetings and record proceedings at meetings of the Board and committees. • Communicate Board resolutions to executive management and ensure implementation of Board resolutions. • Provide strategic legal direction to the department, assess litigious matters and advise whether the matter/s should be pursued by the RSR. • Manage litigation against and on behalf of the RSR and brief lawyers on litigious matters. • Mitigate litigation risk exposure by ensuring properly drafted contracts, SLAs and MOUs on RSR's behalf.
