ADVERTISEMENT COMPANY SECRETARY SALARY: Negotiable CENTRE: Kimberley Reference Number: NCEDA / 01/2019 Duration: Fixed Contract for 5 years The incumbent will report directly to the Board. The purpose of this position is, but not limited to ensuring the adherence to sound corporate governance processes and the effective and efficient administration of the governance function, to guide and support the Board the discharging its fiduciary duties and responsibilities.
Set and maintain Board and Board Committee annual work plans. Assist in the preparation of annual reports and that statutory deadlines are met and statutory and regulatory disclosures are validated, particularly in relation to statements given on corporate standards and practices on the agency. Ensure accurate recording of minutes in relation to all Board and Board Committee and Executive committee meetings. Ensure adherence with company's MCI and that it is maintained up —to-date and conforms to current legislation and reflects best practices. Ensure efficient management of function/resources in accordance with the stipulations of the public Finance Management Act, fraud prevention and risk management principles, corporate legislation, agreements, company policies, practice, procedures, regulations.
REQUIREMENTS: Relevant law degree. Minimum of 5 years' experience as a Company Sectary at executive level.10 years' experience in a legal, governance and compliance environment. People management experience is essential. Experience in a State-owned company/entity will be advantageous. CIS (professional Advanced Qualification Governance & Administration) qualification will be an added advantage. Postgraduate degree will be an added advantage. Admitted Advocate or Attorney will be advantageous. Strong interpersonal skills. Emotional intelligence. Judgement and decision-making skills. Highest level of integrity. Solid leadership skills. Planning and organizing skills. Quality and service orientation. Flexible and dynamic —self- motivated and performance —driven.
